Associate Counsel

This is a fully remote position, open to applicants in New York.

📋 Description

• Take ownership of and enhance the contract lifecycle, which includes intake, drafting, review, negotiation, execution, and oversight of obligations and renewals.

• Create and maintain reusable contract templates, playbooks, and standard positions.

• Provide support for commercial, vendor, service, nondisclosure, and data protection agreements.

• Manage corporate records and entity governance, encompassing resolutions, consents, registered agents, and annual filings for good standing.

• Oversee corporate policies, signing authorities, and governance processes.

• Identify governance gaps, propose improvements, and assist in strategic risk mitigation efforts.

• Collaborate with Compliance to monitor and provide guidance on laws and regulations impacting insurance and financial products, including data privacy.

• Assist in responding to regulatory examinations and inquiries, and contribute to the development of policies and procedures.

• Counsel Product teams on innovative products and technology-driven solutions.

• Review internal and external marketing materials and product documentation for legal accuracy and sufficiency.

• Support teams involved in consumer financial services and debt collection.

• Translate regulatory requirements into contract terms, processes, and actionable guidance.

• Monitor disputes, litigation holds, and coordinate documents with external counsel.

• Work collaboratively with the General Counsel, compliance, operations, and business teams.

• Provide training and support to ensure teams adhere to legal and compliance requirements.

⛳️ Requirements

• Juris Doctor (J.D.) degree and active membership in good standing with at least one U.S. state bar.

• Admission to practice in any U.S. jurisdiction will be considered, provided strong academic credentials are demonstrated.

• Approximately 2 to 3 years of legal experience in corporate governance and entity management, contract drafting and management, with exposure to the debt collection or broader consumer financial services industry.

• Experience in a regulated environment such as insurance, finance, or healthcare, preferably at a venture-backed, high-growth company.

• Familiarity with regulatory issues, especially in data privacy, insurance, or finance.

• Proficient drafting and negotiation skills across various commercial agreements.

• Experience in creating or maintaining contract templates, playbooks, or an organized contract management system.

• Working knowledge of consumer debt collection regulations, including the Fair Debt Collection Practices Act and Regulation F.

• Strong generalist perspective with a curiosity and eagerness to learn quickly in a dynamic startup setting.

• Excellent strategic thinking and problem-solving abilities.

• Capacity to remain composed under pressure, work independently, and handle multiple time-sensitive tasks simultaneously.

• Exceptional organizational skills and attention to detail, capable of managing various matters concurrently while ensuring progress.

• Clear and direct communication style that fosters trust with business partners.

• Preferred: in-house experience at a company in financial services, collections, housing, or a similar regulated industry.

• Preferred: experience managing entities and governance across multiple states.

• Preferred: familiarity with the multifamily, property management, or rental housing sectors.

• Preferred: experience at a startup or technology company.
