Assistant General Counsel, Transactions

This is a fully remote position, open to applicants in District of Columbia, +2 more states.

📋 Description

• Act as the primary internal leader for financing and M&A transactions within Red Cell Partners' portfolio.

• Manage transactions with a high level of autonomy and collaborate with the General Counsel to establish risk posture.

• Negotiate Letters of Intent (LOIs) during sell-side processes.

• Define and brief external counsel regarding purchase agreements.

• Assist in closing Series A and various other venture financing transactions.

• Oversee transactions at different stages, including SAFEs, convertible notes, priced rounds, full sale processes, carve-outs, and acquisitions.

• Collaborate directly with founders, boards, bankers, and acquirers.

• Provide support to companies facing challenges in healthcare, cybersecurity, and national security.

• Report directly to the General Counsel.

⛳️ Requirements

• Juris Doctor (J.D.) degree and currently licensed to practice law in good standing within your U.S. jurisdiction.

• Over 8 years of legal experience, including significant M&A and venture financing expertise at a reputable corporate practice and in-house, with a proven ability to independently manage transactions.

• Extensive experience in sell-side M&A, from LOI through to signing and closing, encompassing diligence management, negotiation of purchase agreements, and post-closing responsibilities.

• Proficient in venture financings at various stages, including SAFEs, convertible notes, and priced preferred rounds, along with an understanding of cap table and governance mechanics.

• Strong independent judgment under deal pressure; capable of managing processes, recognizing which decisions are yours to make, and when to escalate issues, while effectively communicating negative outcomes to the business.

• A team-oriented, energetic, and proactive individual; someone who takes initiative and improves the workflow for colleagues.

• Preferred: Experience in supporting venture-backed or high-growth startups.

• Preferred: Understanding of CFIUS, HSR, or export control reviews and their impact on deal timelines.

• Preferred: Background in fund formation, secondaries, or continuation vehicles.

• Preferred: Familiarity with AI legal tech or other productivity tools.
