Assistant General Counsel – Transactions

This is a fully remote position, open to applicants in United States, +3 more locations.

📋 Description

• Oversee the legal workstream for tax equity, preferred equity, and transferable tax credit transactions.

• Draft and negotiate term sheets, LLC agreements, equity capital contribution agreements, tax credit transfer and forward purchase agreements, guarantees, and closing deliverables.

• Manage transaction checklists, timelines, and closings effectively.

• Provide support for construction, bridge, back-leverage, and warehouse debt financings.

• Handle credit agreements, intercreditor and forbearance arrangements, borrowing base and draw mechanics, and lender consents.

• Perform legal diligence on offtake, EPC and supply, interconnection, real estate, permits, tax credit qualification, insurance, and sponsor/counterparty matters.

• Summarize diligence findings into risks and mitigants for investment committee materials.

• Oversee funding conditions, amendments, consents, waivers, and reporting obligations across the portfolio.

• Define and oversee outside counsel and manage transaction costs.

• Assist with corporate financings, strategic transactions, joint ventures, entity formation and maintenance, corporate governance, regulatory issues, intellectual property, and commercial agreements.

• Maintain and enhance legal forms, playbooks, checklists, and closing sets.

• Identify and rectify inefficiencies in deal processes.

• Develop, implement, assess, and refine AI tools for diligence, drafting, document comparison, closing, and portfolio management.

• Collaborate with Investments, Coverage, Debt Advisory, Portfolio Management, Legal Innovation, Operations, Product, Engineering, Finance, and Compliance teams.

• Translate legal issues into commercial terms and recognize regulatory considerations related to broker-dealer and investment adviser affiliates.

• Report to the General Counsel and work closely with the Associate General Counsel and Managing Director, Investments.

⛳️ Requirements

• 3–6 years of transactional experience, with substantial expertise in projects, energy, or infrastructure finance at a prominent law firm.

• Hands-on experience in tax equity, transferable tax credit transactions, and debt financings for renewable energy and infrastructure projects.

• Proficient in drafting from a term sheet, negotiating a complete document set, and driving transactions to closing with minimal supervision.

• Working knowledge of the federal energy tax credit framework, including Sections 45, 48, 45Y, 48E, 45X, and 6418.

• Understanding of tax credit qualification, bonus adders, and recapture risk.

• Proven experience utilizing AI in legal practice, including adopted or developed tools and workflows.

• Pragmatic, risk-aware judgment with a strong sense of ownership over outcomes.

• Excellent written and verbal communication skills, effective with both legal and non-legal professionals.

• Ability to convey complex structures in straightforward terms and collaborate with counterparty counsel.

• Comfortable managing multiple transactions simultaneously and navigating ambiguous situations.

• JD and admission in good standing to the bar of at least one U.S. state; New York or DC preferred.

• Eligibility for in-house registration when required.
