Assistant General Counsel – Corporate & Securities

This is a fully remote position, open to applicants in Wisconsin.

📋 Description

• Provide guidance on corporate governance, securities law, and general legal matters related to corporate affairs.

• Prepare, review, and submit Forms 10-K, 10-Q, 8-K, proxy statements, and other filings to the SEC.

• Collaborate with Finance and other stakeholders for SEC filing processes.

• Advise on governance issues related to the Board and Board Committees.

• Draft and review minutes from meetings.

• Assist in the preparation and review of materials for the Board.

• Maintain and update policies and procedures related to corporate governance and legal matters.

• Support compliance practices with SEC regulations and public company requirements.

• Contribute to enterprise risk, compliance, and regulatory initiatives.

• Draft and negotiate complex commercial contracts.

• Oversee outside counsel when necessary.

⛳️ Requirements

• BA/BS and JD are mandatory.

• Must hold an active license and be in good standing in at least one relevant U.S. jurisdiction.

• A minimum of 9 years of pertinent legal experience, either in-house, at a law firm, or a mix of both.

• Proven experience advising public companies is required.

• Extensive experience in SEC reporting and matters related to securities law.

• Strong background in drafting and negotiating complex commercial and sales agreements.

• Ability to independently evaluate legal and commercial risks while providing practical, business-focused recommendations.

• Excellent judgment, analytical, negotiation, and problem-solving abilities.

• Verification of permanent authorization to work in the country of application without the need for sponsorship.
