📋 Description

• Deliver strategic and business-oriented legal counsel to executive leadership regarding enterprise risks, governance, compliance, and business initiatives throughout the turnaround process.

• Collaborate with business leaders to assess risks and formulate practical, business-centric solutions.

• Provide guidance on enterprise digital and technology transformation projects and associated legal, contractual, and risk frameworks.

• Spearhead the strategic reconstruction of legal functions and enhance legal services and operations.

• Create and execute outsourced and cost-effective legal delivery models utilizing alternative legal service providers and scaled resources.

• Manage departmental budgeting, resource allocation, outside counsel oversight, and organizational planning.

• Lead and supervise legal, privacy, and related teams.

• Assist the General Counsel with Board of Managers and committee affairs.

• Act as backup Corporate Secretary, preparing board materials, resolutions, minutes, and governance documentation.

• Provide counsel on corporate governance, fiduciary duties, delegated authorities, subsidiary governance, and Board reporting frameworks.

• Oversee subsidiary and intercompany structures and entity management.

• Direct enterprise data governance initiatives, data inventories, remediation, and data cleanup efforts.

• Advise on privacy-by-design, data retention, incident response, and information governance matters.

• Lead AI integration initiatives and develop, customize, and implement AI, ML, and related technologies.

• Establish and manage artificial intelligence governance and responsible AI usage policies and frameworks.

• Provide guidance on employment, labor, regulatory, and compliance issues and support internal investigations.

• Oversee the remediation of HR legal documentation and compliance issues.

• Guide and support mergers, acquisitions, divestitures, corporate restructurings, and strategic transactions.

• Advise on corporate financing, debt transactions, and related financial arrangements.

• Assist with acquisition diligence and integration planning.

• Offer legal support for ESG initiatives and reporting programs.

• Counsel on EEO compliance, inclusive workplace culture, talent practices, and workforce policies.

• Collaborate with Communications and executive leadership on public relations and crisis management issues.

• Support enterprise-wide strategic initiatives as assigned by the General Counsel.

• Determine appropriate staffing resources and foster mentoring and professional development.

• Help define annual Key Performance Indicators aligned with corporate objectives.

• Direct change management efforts to promote cross-functional enhancements and efficiencies.

• Prepare and manage designated budgets and analyze variances.


⛳️ Requirements

• Juris Doctor (J.D.) degree from an accredited law school.

• Active membership in at least one U.S. state bar.

• 12+ years of progressively responsible legal experience, including both law firm and substantial in-house experience.

• 10+ years of leadership experience.

• Expertise in designing, deploying, and managing cost-effective, technology-enabled legal delivery models, including ALSPs, legal operations tools, and outside counsel spend optimization.

• Knowledge of organizational transformation strategies and the reconstruction of legal functions.

• Familiarity with data governance, data remediation, and enterprise data management principles and practices.

• Understanding of artificial intelligence technologies, AI security and governance, and emerging AI regulatory frameworks.

• Proficiency in employment law compliance and remediation of employment documentation, agreements, policies, and handbooks.

• Knowledge of global privacy laws and regulations, employment and labor law, and corporate governance and Board support.

• Insight into mergers and acquisitions, corporate financing, and subsidiary management.

• Ability to design and implement technology-enabled legal operations that enhance efficiency and lower costs.

• Capacity to lead enterprise legal transformation initiatives resulting in measurable operational and financial improvements.

• Skill in managing outside counsel and legal operations across various practice areas.

• Ability to influence and counsel executive leadership and Boards of Managers.

• Excellent written, verbal, and interpersonal communication skills.

• Strong executive presence.

• Exceptional judgment and business acumen.

• Strong analytical and strategic thinking capabilities.

• High attention to detail.

• Ability to balance legal risks with business objectives.

• Competence in leading complex, cross-functional initiatives and driving organizational change.

• Preferred: Experience in organizations undergoing significant transformation, growth, or restructuring.

• Preferred: Background in cost-disciplined, tech-leveraged, and highly regulated industries.

• Preferred: Experience with public companies, including Board governance and SEC-related matters, as well as private company practices.

• Preferred: Experience in leading a privacy function through transformation and reconstruction.

• Preferred: Involvement in public relations, crisis communications, and reputation management initiatives.

• Preferred: Experience with ESG and associated programs.
