Corporate Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Oversee the daily contract lifecycle for commercial, vendor, procurement, and customer agreements across Yomali's various operations.

• Offer practical HR and employment assistance, including crafting offer letters, addressing policy inquiries, and providing guidance on disciplinary actions and terminations, while escalating intricate or multi-jurisdictional issues to the General Counsel or external counsel.

• Act as the primary contact for consumer complaints and regulator inquiries (including state Attorneys General), escalating matters that require litigation or the involvement of outside counsel.

• Manage general corporate housekeeping tasks such as entity maintenance, corporate resolutions, and basic trademark and intellectual property administration.

• Develop and maintain contract templates, playbooks, and self-service tools that empower the business to handle routine issues independently without waiting for legal approval.

• Collaborate with HR, marketing, operations, and product teams, serving as a responsive and practical business partner who is involved early in the process.

• Identify issues to bring to the General Counsel's attention with a clear risk assessment and suggested solutions, taking on new responsibilities as the legal function and team evolve.


⛳️ Requirements

• A JD (or equivalent) and a valid license or qualification as an attorney, solicitor, or barrister in the United States, Canada, England & Wales, or Ireland.

• At least 4 years of in-house counsel experience as a generalist (suitable for candidates ranging from mid-level to senior generalist experience), preferably in a consumer-facing or technology sector with direct experience in commercial contracts.

• Proven ability to independently draft and negotiate a high volume of commercial and vendor contracts.

• Familiarity with employment law fundamentals, including offer letters, terminations, and policy inquiries; experience across multiple jurisdictions is a plus.

• Ability to develop your own processes in areas where formal playbooks may not yet be established.

• Strong written and verbal communication skills, demonstrating the ability to provide clear recommendations, resolve issues independently, and escalate when necessary.

• Preferred: Experience in addressing consumer complaints or regulatory inquiries (such as those from state Attorney General offices, Better Business Bureau, or similar organizations).

• Background in a consumer-facing ecommerce, marketplace, subscription, or consumer SaaS company.

• Exposure to consumer protection, marketing, subscription, payments, data privacy, or ecommerce regulatory issues.

• Basic knowledge of trademark/IP or data privacy matters.

• Experience in developing templates, playbooks, or self-service tools for a growing legal department.

• Ability to work across legal and regulatory frameworks in the US, Canada, UK, and Ireland.
