This is a fully remote position, open to applicants in California.
• Act as the primary commercial counsel providing advice on contract risks, liabilities, indemnification, warranty, intellectual property, and termination clauses across customer-facing, enterprise, and OEM agreements.
• Draft, review, and negotiate a large volume of commercial agreements, including supply, distribution/reseller, manufacturing/services, purchase orders, and vendor contracts.
• Offer practical, business-focused legal advice that facilitates deal velocity while ensuring proper risk management.
• Develop contract templates, playbooks, clause libraries, and workflows in collaboration with the paralegal and operations team; promote ongoing enhancements to the contracting process.
• Provide guidance on export control, trade compliance, and data protection matters arising in commercial agreements, escalating specialized inquiries to external counsel as necessary.
• Assist with M&A workstreams as required.
• Engage in legal issues beyond the core commercial focus as necessary to support the wider legal team due to its compact size.
• Juris Doctor (J.D.) degree and an active license to practice law in the candidate's jurisdiction.
• At least 7 years of legal experience, particularly in commercial transactions within the technology sector, ideally encompassing both in-house and law firm roles; experience in start-ups or high-growth companies is advantageous.
• Exceptional skills in drafting, redlining, negotiating, and identifying issues, with the capacity to manage multiple contracts and stakeholders simultaneously while ensuring clear communication to non-lawyers.
• A low ego and high accountability, with the ability to operate independently in a dynamic, fast-paced legal environment with changing processes and reporting structures.
• Strong business acumen and the capability to differentiate legal issues from commercial ones, articulating risks clearly and practically without excessive legal jargon.
• Familiarity with contract lifecycle activities beyond negotiation, such as intake, routing, approvals, signature tracking, repository management, and contract status oversight.
