This is a fully remote position, open to applicants in Connecticut, +4 more states.
• Establish and prioritize a corporate development strategy at the enterprise level that aligns with CVS Health’s long-term growth and value creation goals.
• Provide guidance to the Executive Leadership Team and Board of Directors on matters of inorganic growth, strategic alternatives, capital allocation, and portfolio optimization.
• Direct and revitalize the Corporate Development function by creating governance structures, decision-making frameworks, operational rhythms, and performance benchmarks.
• Manage the complete execution of M&A transactions, which includes identifying targets, conducting valuations, performing due diligence, negotiating, structuring, and finalizing deals.
• Formulate investment theses, strategic justifications, and scenario-based recommendations for intricate transactions.
• Supervise integration strategies and their execution alongside business leaders, finance, legal, compliance, and operations teams.
• Assess and carry out divestitures and strategic exits.
• Maintain relationships with investment banks, financial sponsors, and healthcare advisors.
• Represent CVS Health in external M&A discussions and negotiations.
• Ensure that transactions adhere to enterprise governance standards and comply with healthcare regulatory requirements.
• Factor in regulatory, reimbursement, antitrust, and government program implications during deal evaluation and execution.
• Manage financial, operational, regulatory, and reputational risks throughout the transaction lifecycle.
• Build, lead, and nurture a high-performing corporate development team.
• Create scalable processes, analytical rigor, and best-practice tools for enterprise-level execution.
• A minimum of 15 years of experience in corporate development, investment banking, private equity, or a relevant combination of these fields.
• Extensive hands-on experience in leading complex M&A transactions from strategy formulation through to closing.
• Profound knowledge in valuation, deal structuring, financial modeling, and transaction governance.
• Proven experience in a large, highly matrixed, regulated organization.
• Ability to influence senior executives and business presidents without having direct authority.
• A history of rebuilding or transforming a function or team during times of change.
• Experience in the healthcare industry, including payer, PBM, pharmacy, provider, or services sectors.
• Established connections within the healthcare investment banking and advisory landscape.
• Experience in supporting decision-making at the Executive Leadership Team and Board level.
• Familiarity with large-scale acquisitions and complex integrations.
• A Bachelor’s degree in Finance, Economics, Business Administration, or a related field is required.
• An MBA or other advanced degree is highly preferred.
