
Vendor Management Counsel

This is a fully remote position, open to applicants in California.
• Act as the lead attorney for the firm's vendor and supplier agreements across all business operations.
• Draft, review, and negotiate technology licensing, SaaS, cloud services, professional services, statements of work, and procurement contracts.
• Oversee contracting for technology and AI-related projects, including generative AI platforms, AI-assisted legal tools, data processing, and third-party model access.
• Provide counsel on data rights, acceptable use, confidentiality, output ownership, and liability allocation.
• Collaborate with privacy, data security, and technology transaction lawyers on specialized issues and escalations.
• Work closely with Finance, IT, Information Security, and other stakeholders to identify legal risks and ensure contract terms align with internal policies.
• Maintain standard contract templates, playbooks, and clause guidance.
• Keep abreast of AI governance, data privacy, and technology contracting trends, advising the General Counsel accordingly.
• Manage the firm’s contract portfolio and improve contract management processes.
• Juris Doctor (J.D.) from an ABA-accredited law school is required.
• Must hold active bar admission in good standing in at least one U.S. jurisdiction.
• A minimum of 3 years of experience in drafting and negotiating various commercial contracts, including technology agreements.
• Strong skills in drafting, negotiation, and business partnership.
• Familiarity with generative AI contracting concepts, such as data rights, acceptable use, confidentiality, indemnification, and IP ownership.
• Capability to manage a substantial volume of matters with competing deadlines.
• Business-oriented mindset to identify and communicate risks, propose practical solutions, and escalate as necessary.
• Previous experience in an in-house legal department, law firm technology transactions practice, or legal managed services organization is preferred.
• Preferable familiarity with enterprise procurement and vendor management processes.
• Working knowledge of information security and data privacy frameworks, including ISO, NIST, GDPR, and CCPA/CPRA, is preferred.
• Experience with AI governance issues, such as the EU AI Act or emerging U.S. state AI legislation, is preferred.
• Familiarity with contract lifecycle management systems and ability to utilize AI tools is preferred.
