This is a fully remote position, open to applicants in United States.
• Prepare, assess, and oversee a diverse array of commercial contracts, including SaaS/IaaS, NDAs, vendor agreements, partnership agreements, and data processing contracts.
• Create and uphold standard templates, playbooks, and approval processes.
• Oversee global entity records, including formations, qualifications, dissolutions, and regulatory submissions across various jurisdictions.
• Assist in corporate governance tasks such as board resolutions, corporate minute documentation, capitalization tables, governance materials, entity upkeep, and subsidiary management across multiple regions.
• Facilitate board meeting arrangements including the preparation of agendas, resolutions, and minutes.
• Track regulatory changes in digital assets, staking, and DeFi across major jurisdictions (US, EU/MiCA, UK, APAC) and conduct relevant research as needed.
• Aid in license and registration applications and communication with regulatory bodies.
• Contribute to the preparation of responses to governmental inquiries and subpoenas.
• Assist with matters related to data privacy compliance, including GDPR, CCPA, and other relevant frameworks.
• Support employment and HR legal matters across both U.S. and international territories.
• Review and provide legal guidance on marketing and communications materials, such as advertising text, promotional content, partner announcements, and social media updates, ensuring adherence to applicable regulations, disclosure standards, and brand guidelines.
• Draft marketing contracts, including rights of publicity, case studies, releases, sponsorships, and event agreements.
• Manage and enhance legal tools, document storage, and workflows continuously.
• Lead the contract lifecycle management (CLM) system, monitoring renewals and key commitments.
• Identify and implement enhancements within the legal function's tooling (e.g., e-signature, matter management, knowledge management).
• Minimum of 8 years of paralegal experience in-house or within a law firm, with at least 2 years in a senior role.
• Strong expertise in corporate/commercial law and technology contracts.
• Experience with international entity management and filings across multiple jurisdictions.
• Proficient in CLM software (e.g., Ironclad, SpotDraft or similar), DocuSign, GSuite/M365.
• Outstanding written communication and organizational skills; adept at working independently and navigating ambiguity.
• Familiarity with blockchain, cryptocurrency, Web3, or digital asset companies is preferred.
• Knowledge of digital asset regulations such as MiCA, VASP/AMLD5, FCA, and FinCEN is preferred.
• Exposure to GDPR, CCPA, or other data protection frameworks is preferred.
• Experience in supporting intercompany restructurings is preferred.
