• Lead the legal structuring of comprehensive data center real estate transactions, which encompass:
• Acquisitions and dispositions of land
• Ground leases
• Developments built to suit
• Sale-leaseback arrangements and joint ventures
• Convert business objectives into legally binding frameworks that align risk management, capital allocation, and operational oversight.
• Develop transaction frameworks that consider:
• Availability of power and utility agreements
• Zoning, entitlements, and land use restrictions
• Rights for phased development and expansion
• Tax implications and financing strategies
• Draft, review, and negotiate complex real estate agreements, including:
• Purchase and Sale Agreements (PSAs)
• Ground leases and long-term land control documents
• Data center leases (triple-net, powered shell, wholesale colocation)
• Easements, licenses, and access agreements
• Development contracts and construction-related agreements
• Create contract frameworks for architects that clearly define:
• Risk distribution
• Performance responsibilities and milestones
• Remedies and rights to terminate
• Lead negotiations with stakeholders such as developers, landowners, utility companies, municipalities, and investors.
• Supervise thorough real estate due diligence, which includes:
• Title, survey, and encumbrance evaluations
• Environmental assessments (Phase I/II)
• Compliance with land use, zoning, and permitting regulations
• Identify and address risks associated with:
• Site control and access
• Utility reliance and infrastructure limitations
• Regulatory and jurisdictional challenges
• Collaborate with internal teams across:
• Real estate and site selection
• Development and construction
• Finance and capital markets
• Operations and engineering
• Coordinate with external legal counsel, brokers, and consultants to ensure alignment and efficiency in deal execution.
• Manage transaction timelines from the initial term sheet to closing and post-closing responsibilities.
• Juris Doctor (JD) degree and active bar membership in at least one U.S. jurisdiction
• 8–12+ years of experience in commercial real estate law, ideally including:
• Data center, energy, or infrastructure transactions
• Experience in large law firms and/or in-house legal departments
• Proven track record of leading intricate real estate negotiations and closings
• Advanced expertise in commercial real estate law and transaction processes
• Profound understanding of contract structuring and principles of legal design
• Ability to align legal frameworks with business strategies and financial models
• Strong negotiation skills in high-stakes, multi-party transactions
• Knowledge of capital structures, investment vehicles, and return metrics
• Capability to create scalable and repeatable deal structures
• Ability to anticipate long-term operational and expansion requirements
