This is a fully remote position, open to applicants in California.
• Provide legal support throughout the entire BESS project lifecycle, which includes origination, site control, real estate, and permitting, as well as interconnection, commercial contracting, financing, and transition to construction, operations, and asset management.
• Collaborate with internal stakeholders to design, draft, and negotiate essential project agreements, such as site control, interconnection, equipment procurement, construction, O&M, LTSA, asset management, consultant, and other commercial agreements.
• Assist in responding to utility and corporate RFPs, and negotiate revenue and commercial agreements, including PPAs, tolling arrangements, capacity and energy services agreements, along with other offtake structures.
• Provide guidance on procurement, trade, and supply chain issues.
• Facilitate legal due diligence, transaction management, and closing requirements for project and portfolio acquisitions, divestitures, preferred equity, and debt financings.
• Collaborate effectively with and oversee outside counsel to offer practical, cost-efficient advice.
• Stay informed on market, regulatory, and industry changes that impact BESS project development, commercial contracting, and compliance.
• A minimum of 10 years of relevant legal experience in a law firm, a sophisticated in-house legal department, or a government agency, with significant experience in energy project development and commercial transactions.
• Juris Doctor (J.D.) from an accredited U.S. law school and an active license in good standing (preferably in CA, NY, or TX).
• Proven experience in drafting and negotiating offtake, power purchase, capacity, tolling, and other project revenue agreements.
• Experience in negotiating commercial arrangements with data centers, AI, cloud, hyperscale, or other large commercial and industrial customers is advantageous.
• Strong working knowledge of permitting, environmental review, land use, siting, interconnection, real estate, procurement, trade, supply chain, and ISO/RTO market issues pertinent to utility-scale BESS projects.
• Proficiency in legal technology and contract management tools, including AI-assisted research, drafting, and workflow tools.
• Strategic and commercially oriented, exhibiting sound judgment and robust problem-solving abilities.
• Exceptional written, verbal, and presentation skills.
• Collaborative, adaptable, and responsive, demonstrating strong interpersonal and negotiation capabilities.
