This is a fully remote position, open to applicants in United States.
• Prepare, review, negotiate, and oversee intricate commercial agreements, which encompass SaaS agreements, customer contracts, partner agreements, vendor contracts, amendments, order forms, statements of work, business associate agreements (BAAs), nondisclosure agreements (NDAs), and other commercial documents.
• Create both customized and standard agreements utilizing suitable contract templates and approaches, while modifying language to meet business requirements and approved contractual standards.
• Evaluate and address customer and vendor redlines, balancing business goals with legal, operational, and commercial risks.
• Take the lead in negotiations for customer and vendor contracts within predefined approval frameworks.
• Engage in contract negotiation meetings and conference calls with customers and external parties to address contractual matters and ensure timely execution.
• Secure necessary approvals for non-standard contractual terms in line with company policies, risk tolerance, and approval authorities.
• Capable of working remotely and with minimal supervision while effectively managing responsibilities independently.
• Provide guidance to internal stakeholders on contract terminology, negotiation tactics, company contracting policies, and associated risks.
• Assess contractual challenges and propose practical, business-focused solutions that facilitate successful deal execution while effectively managing risk.
• Collaborate with Sales, Customer Success, Product, Finance, Security, and Legal teams to support commercial transactions and contract execution.
• Oversee assigned agreements throughout the contract lifecycle from intake to execution, amendment, renewal, and maintenance.
• Maintain precise contract records and workflow status within Salesforce, Apttus, or other contract lifecycle management systems.
• Review and process various contractual correspondence, notices, amendments, and related customer documentation.
• Review and amend contract and opportunity information within Salesforce, Apttus, or related business systems to ensure accurate reporting and downstream processing.
• Assist Finance and other internal stakeholders by ensuring complete and accurate contract information.
• Lead assigned cross-functional projects and initiatives aimed at enhancing contracting operations.
• Suggest enhancements to contract templates, playbooks, workflows, and contracting processes to boost efficiency, consistency, and scalability.
• Utilize AI-driven tools for contract review, drafting, summarization, and workflow automation to enhance efficiency, consistency, and contract quality while applying sound professional judgment and ensuring compliance with company policies.
• Identify opportunities to refine contracting processes through the responsible adoption of AI or other automation technologies.
• Cultivate a comprehensive understanding of MCG's products, services, customers, and business operations to inform contracting decisions.
• Operate autonomously in a remote setting while managing multiple priorities and competing deadlines.
• Offer functional guidance and mentorship to less experienced contracts professionals without direct supervisory responsibilities.
• Bachelor's degree in Business, Legal Studies, Finance, Healthcare Administration, or a related field, or equivalent experience.
• A minimum of 8 years of progressive experience in contracts management, including the drafting, reviewing, negotiating, and administering of commercial agreements.
• Proven experience negotiating SaaS, software subscription, technology, customer, and vendor agreements.
• Familiarity with contract lifecycle management (CLM) systems, Salesforce, Apttus, or similar CRM and contract management platforms.
• Demonstrated capability to independently draft, negotiate, review, and manage a substantial volume of complex commercial agreements.
• Experience collaborating with cross-functional stakeholders, including Sales, Customer Success, Product, Finance, Security, and Legal.
• Proven ability to manage multiple priorities independently in a fast-paced environment while adhering to deadlines.
• Exceptional analytical, negotiation, written, and verbal communication skills.
• Strong judgment with the ability to balance commercial objectives against legal and operational risks within established policies and approval frameworks.
