
Senior Commercial Counsel, Public Sector

This is a fully remote position, open to applicants in United States.
• Prepare, assess, and negotiate a wide array of commercial contracts with an emphasis on US Federal and SLED sectors, including SaaS agreements, software licenses, MSAs, hardware agreements, reseller and partner agreements, teaming agreements, subcontracts, OTAs, NDAs, professional services agreements, statements of work, and data processing agreements.
• Take the lead on intricate public sector technology transactions independently and assist Armada’s federal, defense, state, local, and regulated industry sales initiatives by offering strategic legal counsel throughout the procurement and contracting process.
• Analyze RFPs, RFIs, RFQs, solicitations, statements of work, and proposal materials to pinpoint legal, compliance, operational, and business risks.
• Guide internal stakeholders on adherence to FAR, DFARS, agency-specific supplements, flow-down clauses, public procurement mandates, and best practices in government contracting.
• Collaborate closely with Sales, Capture, Revenue, Product, Engineering, Security, Finance, and Compliance teams to structure and negotiate public sector deals that align with Armada’s business goals.
• Offer insights on matters related to intellectual property rights, software licensing, data rights, cybersecurity responsibilities, export controls, privacy regulations, organizational conflicts of interest, and compliance with regulations.
• Assist in contracting activities that involve public sector resellers, systems integrators, channel partners, and subcontractors.
• Aid in the creation and enhancement of scalable legal templates, contracting playbooks, policies, and operational workflows to support Armada’s expanding government business.
• Facilitate post-award contract management, including contract interpretation, modifications, compliance obligations, audits, disputes, and issue resolution.
• Keep abreast of changes in government procurement laws, cybersecurity regulations, AI governance, and public sector technology policy, and proactively inform the business about impacts and opportunities.
• Efficiently manage outside counsel and collaborate across functions to resolve complex legal and operational challenges.
• Contribute broadly within the Legal team on commercial, compliance, and operational issues as Armada scales.
• Promote continuous enhancements in legal operations, contracting processes, and cross-functional engagement to bolster business agility and scalable growth.
• Juris Doctor (J.D.) from an accredited law school and active membership in good standing with at least one state bar in the U.S.
• More than 7 years of experience in supporting commercial transactions and/or government contracts.
• Extensive experience in drafting and negotiating technology, SaaS, software licensing, or public sector commercial agreements.
• Strong knowledge of U.S. government procurement laws and regulations, including FAR and DFARS.
• Experience in independently supporting public sector transactions involving federal, state, or local government clients.
• Proven ability to independently guide negotiations and manage complex transactions with minimal supervision.
• Strong business acumen and capacity to provide practical, risk-balanced legal advice in dynamic environments.
• Exceptional drafting, negotiation, analytical, and communication skills.
