
Senior Commercial Counsel

This is a fully remote position, open to applicants in United States.
• Act as the main legal advisor for business development, partnerships, marketing, operations, and other commercial departments.
• Draft, assess, and negotiate agreements related to strategic partnerships, distribution, technology, licensing, vendors, services, referrals, marketing, data, and confidentiality.
• Lead intricate commercial negotiations from their initial formation through to execution and renewal.
• Counsel stakeholders on contract-related, regulatory, reputational, and counterparty risks.
• Foster relationships with financial institutions, fintech firms, blockchain protocols, exchanges, wallets, custodians, market makers, technology providers, and ecosystem partners.
• Create practical solutions that balance legal safeguards with commercial goals and operational efficiency.
• Advise marketing and business teams on promotional initiatives, partner communications, public assertions, and associated commercial arrangements.
• Collaborate with compliance and regulatory counsel on matters involving securities, financial promotions, anti-money laundering, data protection, licensing, and geographical limitations.
• Develop and sustain contract templates, negotiation guides, approval workflows, and scalable commercial legal processes.
• Provide training and support on contracting, negotiation, and risk management strategies.
• Oversee outside counsel and specialized advisors.
• Assist the AGC Commercial and senior legal staff with strategic transactions and business priorities.
• Juris Doctor (JD) degree from an accredited U.S. law school.
• 5–8+ years of legal experience at a prominent law firm and/or within a rapidly growing blockchain, fintech, financial services, or technology enterprise.
• Extensive experience in drafting and negotiating intricate commercial agreements.
• Strong grasp of commercial contracting principles, including liability, indemnification, intellectual property, data usage, confidentiality, service levels, termination rights, and regulatory responsibilities.
• Experience providing counsel to business development, partnerships, marketing, sales, operations, or other commercial teams.
• Demonstrated commercial acumen and capability to deliver clear, practical advice amid conflicting business and legal considerations.
• Ability to independently lead negotiations and engage credibly with senior internal stakeholders as well as sophisticated counterparties.
• Familiarity with the blockchain sector and commercial relationships underpinning digital asset or financial services businesses.
• Knowledge of securities, anti-money laundering, financial promotions, data protection, and other pertinent financial services regulations.
• Exceptional drafting, negotiation, analytical, and communication abilities.
• Highly organized, detail-oriented, and capable of managing multiple transactions and deadlines concurrently.
• Comfortable working independently in a fast-paced and uncertain environment.
• Experience with tokenized assets, institutional financial products, or international commercial agreements is advantageous.
