This is a fully remote position, open to applicants in California, +16 more states.
• Take charge of reviewing, drafting, and negotiating a high volume of intricate commercial agreements, which include: SaaS (both outbound and inbound), Data-as-a-Service (DaaS), agreements with enterprise and strategic customers, cloud, reseller, and partnership contracts, vendor and professional services agreements, as well as marketing and advertising agreements.
• Collaborate closely with Sales and Revenue leadership to structure deals that align with the company's risk appetite and strategic goals.
• Provide guidance to internal stakeholders regarding legal, financial, and operational risks associated with commercial transactions, clearly articulating trade-offs.
• Assist with RFPs and customer due diligence procedures, including the negotiation of security and compliance terms.
• Offer expertise on privacy and data protection laws (such as GDPR, CCPA/CPRA, and evolving U.S. state privacy regulations) as they pertain to product features, customer agreements, and marketing efforts.
• Work alongside Security and Product teams to support customer inquiries regarding data protection and information security questionnaires.
• Aid in the creation, implementation, and maintenance of internal compliance policies and processes.
• Provide counsel on legal and regulatory issues related to AI-enabled products and internal AI usage, covering: data usage rights and training data considerations, intellectual property ownership and licensing issues, transparency and disclosure requirements, and contractual allocation of AI-related risks.
• Draft and negotiate AI-specific contractual clauses (for instance, model usage, output ownership, indemnification, acceptable use, and compliance representations).
• Contribute to the formulation of internal AI governance policies, including acceptable use, vendor evaluation, and risk assessment frameworks.
• Collaborate across functions to assess AI vendors and integrated AI technologies from both contractual and compliance perspectives.
• Utilize AI-enabled tools within the Legal department to enhance contract intake, template generation, redline comparison, issue identification, clause extraction, research, and knowledge management, ensuring responsible and secure usage.
• Participate in the ongoing enhancement of legal templates, playbooks, and clause libraries to improve scalability and consistency.
• Recognize recurring negotiation patterns and suggest process or policy changes to minimize friction and expedite deal cycles.
• Assist in the implementation and optimization of contract lifecycle management (CLM) and other legal technology tools.
• Create practical guidance and training materials for Sales and other internal stakeholders regarding best practices in contracting.
• Offer pragmatic legal advice to Product, Marketing, Finance, and People teams on commercial and operational issues.
• Work with outside counsel as necessary on specialized or escalated matters.
• Provide support for claims, disputes, and general corporate matters as assigned.
• Juris Doctor (JD) from an accredited law school.
• Active membership in at least one U.S. state bar.
• Over 6 years of relevant legal experience, ideally within a technology company (SaaS and/or data-focused) and/or a law firm representing technology clients.
• Required experience in negotiating SaaS, data licensing, and enterprise commercial agreements.
• Preferred exposure to AI-related contracting or governance frameworks.
• Strong business acumen and the capability to balance legal risks with commercial objectives.
• Exceptional skills in contract drafting and negotiation, particularly in SaaS and data transactions.
• Ability to work independently in a dynamic, high-growth technology environment.
• Clear and concise communication skills with the ability to translate complex legal concepts into practical business advice.
• Experience providing advice on data privacy, information security, and compliance matters pertinent to SaaS companies.
• Working knowledge of legal considerations related to AI, including data rights, intellectual property, regulatory trends, and risk allocation.
• Proficient in contract management systems and legal technology tools; comfortable with adopting and enhancing AI-enabled legal solutions.
• Strong project management and organizational abilities, with a talent for prioritizing competing demands.
