This is a fully remote position, open to applicants in United Kingdom.
• Manage corporate compliance for roughly 350 entities throughout the EMEA and APAC regions.
• Supervise and foster the professional growth of four Subsidiary Governance Associates.
• Engage with and support colleagues overseeing corporate compliance in international jurisdictions.
• Oversee Outsourced Service Providers and assist the Head of Corporate Governance in enhancing the OSP model.
• Manage the Diligent Entities platform and broaden the database for Group Functions.
• Provide planning and execution assistance for corporate restructuring, refinancing, and simplification initiatives.
• Aid in the design, implementation, and operation of Wood’s Entity Governance & Compliance Framework.
• Establish and maintain an effective assurance framework for the EGCF.
• Collaborate with business and functional stakeholders to foster an entity-focused approach.
• Develop and implement training programs for subsidiary Directors.
• Refine and supervise governance policies and procedures, including delegations of authority, powers of attorney, document execution, and parent company guarantees.
• Improve governance of operating entities, encompassing corporate changes and board support protocols.
• Associate of the Charter Governance Institute (ACG), Chartered Secretary, or an equivalent qualification.
• Experience in managing multinational group structures and overseeing global entity compliance.
• Capability to advise on the design and execution of group governance standards on an international scale.
• Strong stakeholder engagement abilities across various jurisdictions and functional areas.
• Skill in influencing and challenging existing perspectives via clear, informed, and logical arguments and discussions.
• Dedication to continuous learning, development, and technical proficiency.
• Ability to communicate effectively and build relationships, trust, and rapport with leadership and management.
• Familiarity with functional operating models, critical processes, reporting frameworks, and legal entity structures.
• Competence in managing and delivering change, including technological advancements, alongside business-as-usual priorities.
• Qualified solicitor or accountant with relevant company secretarial and governance experience may be taken into consideration.
• Experience in managing team members.
• Ability to cultivate effective cross-cultural working relationships.
