Projects Counsel

This is a fully remote position, open to applicants in South Dakota.

📋 Description

• Act as the primary reviewer for initial redlines on EPC agreements and prime contracts by utilizing Legal Counsel's playbooks and clause library.

• Assess internal exhibits and statements of work, integrating feedback from Engineering, Procurement, and Operations.

• Facilitate regular contract negotiations using standardized positions and escalate requests that deviate from the playbook to Legal Counsel.

• Compose language for high-stakes or precedent-setting terms, such as liability caps, indemnity, and warranty architecture, for review by Legal Counsel.

• Consistently apply templates and clause libraries, identifying gaps or necessary updates.

• Review subcontracts to ensure compliance with prime contract obligations, including FEOC/PFE, prevailing wage, warranty, indemnity, and insurance requirements.

• Lead subcontract negotiations and assist in MSA strategy and new subcontract frameworks.

• Provide ongoing legal support regarding contract inquiries, notices, change orders, RFIs, and delay/claim-preservation letters.

• Act as the point of contact for permitting and AHJ contract matters.

• Support escalated or high-value project disputes.

• Contribute to the contract management system and serve as a backup for NDA review and approval.

• Collaborate with Business Development, Engineering, Procurement, Operations, Project Managers, and Construction Manager.

• Uphold confidentiality and exercise sound judgment while managing sensitive contract, negotiation, and dispute information.

• Partner with Legal Counsel to enhance contract workflows and documentation.

• Report to Legal Counsel and take on primary day-to-day project support following a phased onboarding process.

⛳️ Requirements

• Juris Doctor (JD) from an accredited law school.

• Active law license in good standing in the candidate's state of residence.

• Over 2 years of experience in drafting, reviewing, and negotiating commercial contracts.

• Proficient contract drafting and redlining skills with a keen attention to detail and precision.

• Capability to independently apply established playbooks and precedents, while discerning when to escalate novel or high-risk matters.

• Exceptional organizational and time-management abilities, capable of managing a substantial volume of contracts and competing deadlines.

• Strong interpersonal skills with clear and professional communication with Project Managers, field leadership, subcontractors, and vendors.

• Good judgment and diplomacy when addressing contract disputes, notices, and other sensitive issues.

• Candidates under consideration must successfully pass a background check and drug test prior to starting work.

• Previous experience with EPC agreements, subcontracts, or construction contracts in the solar, renewable energy, or energy/infrastructure sector is preferred.

• Familiarity with FEOC/PFE requirements and prevailing wage is preferred.

• Experience directly supporting project teams on active construction projects is preferred.

• Prior experience in-house or at a law firm supporting a growing organization is preferred.

• Strong understanding of EPC agreements, prime contracts, and subcontract structures, including risk allocation, indemnity, warranty, and insurance provisions.

• Working knowledge of change orders, notices, RFIs, and delay/claim-preservation letters.

• Familiarity with contract management systems and NDA review processes.

• Ability to consistently apply playbooks, clause libraries, and templates across a high volume of agreements.

• Strong written and verbal communication skills.

• Comfortable working independently while maintaining close collaboration with Legal Counsel, Project Management, and Operations.
