This is a fully remote position, open to applicants in District of Columbia.
• Act as the primary legal advisor for multiple portfolios of solar and/or BESS projects from initial entry to final exit.
• Collaborate with development, construction, capital markets, and internal subject-matter experts.
• Oversee external consultants and both local and national legal counsel.
• Negotiate and perform due diligence for project acquisitions, including Letters of Intent (LOIs), MIPAs, and Asset Purchase Agreements (APAs).
• Identify and manage specialist legal counsel while supervising legal due diligence.
• Assist in development initiatives, which encompass revenue contracts, regulatory submissions, and real estate/entitlement resolutions.
• Support procurement processes and execute purchase orders for essential equipment.
• Aid in construction execution, which includes prime EPC agreements and significant construction subcontracts.
• Lead the negotiation and execution of project finance transactions, covering tax credit insurance, tax credit sales, construction debt, permanent debt, tax equity, and preferred equity.
• Assist with operational-period contracting, including asset management, operations and maintenance (O&M), and various operational agreements.
• Manage key regulatory filings and submissions, addressing NERC and MBR matters.
• Guide project monetization transactions, including LOIs, MIPAs, equity sale documentation, and back-leverage, portfolio, and Holdco debt.
• Serve as a liaison among internal commercial teams, external legal counsel, outside parties, and internal project leaders.
• Assume responsibility for the work product of external counsel and daily legal activities.
• Report directly to the General Counsel.
• 7-9 years of post-admission experience for Senior Counsel or 5-6 years for Counsel within the renewable energy sector, preferably from a law firm with a focus on energy or a solar/energy storage development firm.
• Extensive knowledge in the majority of the specified workstreams for Senior Counsel or familiarity with many of them for Counsel.
• Solid understanding of workstreams beyond the applicant’s primary area of expertise.
• Experienced transactional attorney and advocate with a strong grasp of contract fundamentals.
• Keen commercial insight and eagerness to understand commercial decision-making processes.
• Intellectual curiosity and a passion for the energy sector.
• Ability to thrive in challenging situations and to safeguard the company’s interests.
• Proficient in identifying and advising on risk mitigation strategies related to energy projects.
• Strong awareness of regulatory aspects of U.S. power markets, including FERC and NERC regulations.
• Convincing and effective communicator and negotiator with both internal and external business stakeholders.
• Capability to distill complex ideas into persuasive arguments suitable for non-legal audiences.
• Experience in an in-house legal department is a notable advantage.
