Product Counsel, Crypto

This is a fully remote position, open to applicants in California, +1 more state.

📋 Description

• Lead legal affairs for various markets and products, providing expert advice on federal and state securities, banking, and insurance regulations.

• Deliver daily legal, business, and strategic counsel to internal teams focused on markets, addressing challenges and proposing solutions for the development and implementation of innovative Real-World Asset digital tokens and associated financial products and services.

• Provide thorough legal support throughout the product life cycle, from initial conception to launch, ongoing operation, and eventual discontinuation, assisting in both the creation and, if necessary, the dissolution of products.

• Stay informed on current and evolving laws and regulations related to digital assets, blockchain, securities, and technology to ensure compliance.

• Create and present both proactive and on-demand guidance to marketing and design teams on issues related to the product lifecycle and other initiatives.

• Build and maintain strong, positive relationships with affiliates and other stakeholders for effective product lifecycle management.

⛳️ Requirements

• The ideal candidate possesses extensive experience in financial markets within the securities and cryptocurrency sectors, with a minimum of 5 years as either outside counsel or in-house counsel for financial services firms (preferred experience includes mutual funds, broker-dealers, investment advisors, OTC trading businesses, and money transmitters dealing in virtual assets).

• Significant expertise in securities law, including familiarity with the Securities Act of 1933, Securities Exchange Act of 1934, Investment Advisers Act of 1940, and Investment Company Act of 1940.

• Experience as an examiner, attorney, or industry expert at a regulatory agency (e.g., SEC, CFTC) is a plus.

• Strong negotiation skills with the ability to draft and negotiate financial agreements, such as prime brokerage, trading contracts, lending, and derivatives documentation.

• In-depth knowledge of compliance and regulatory requirements pertaining to financial markets and crypto assets, including regulations on RWA digital assets, crypto transactions, and blockchain technology issues (e.g., smart contracts and digital wallets) in financial services and products.

• Experience providing product counseling in blockchain, crypto, and securities products, including the ability to apply laws and regulations to new technologies and to review products for compliance with relevant laws.

• A keen interest in digital assets, blockchain technology, and the advancements introduced by decentralized applications and DeFi.

• Juris Doctor (J.D.) degree and membership in at least one state bar.

• Exceptional written, oral, and interpersonal communication skills for engaging both in-person and remote audiences.

• Demonstrated ability to take ownership of, organize, prioritize, and effectively manage projects.
