This is a fully remote position, open to applicants in United States.
• Review, draft, and assist in the negotiation of contracts related to partnership and procurement transactions.
• Provide support for Channel and Reseller Agreements, vendor agreements, and procurement agreements.
• Evaluate, draft, and negotiate vendor and supplier agreements, purchase orders, software and SaaS subscription agreements, cloud services agreements, consulting agreements, referral agreements, partnership agreements, marketing agreements, distribution agreements, and technology partner agreements.
• Collaborate with procurement and partnership teams to facilitate efficient contracting processes.
• Offer legal support for partnership and procurement contracts.
• Suggest negotiation strategies to internal business partners.
• Uphold internal contracting policies, guidelines, exceptions, templates, workflows, and risk controls.
• Analyze contract risks and propose mitigation strategies.
• Utilize GC AI, Glean, and other AI-driven tools for contract review, drafting, and legal research.
• Oversee the legal inbox and respond to routine inquiries.
• Manage multiple projects and tasks while adhering to deadlines and communicating with stakeholders.
• Work alongside the legal team to develop solutions for complex issues.
• Facilitate training for team members and business colleagues.
• Assist with risk management and litigation efforts.
• Support corporate governance, entity records, filings, entity management, board and committee materials, resolutions, consents, and meeting minutes.
• Coordinate annual filings, registered agent services, state qualifications, and withdrawals.
• Maintain corporate minute books and governance records.
• Willingness to travel up to 10%.
• A minimum of 3 years of experience as a paralegal or contracts professional in partnership, procurement, or corporate governance roles.
• Possession of a Paralegal Certificate.
• Bachelor’s degree or paralegal certificate, or an equivalent combination of relevant education, training, or work experience.
• A higher-level degree, such as a Master’s or Juris Doctor, may substitute for two years of experience.
• Interest in commercial transactions, corporate governance, and the cybersecurity sector.
• Familiarity with Salesforce, Box, Microsoft Office Suite, Microsoft Teams, Ironclad, contract lifecycle management tools, GC AI, and Glean.
• Exceptional written, verbal, and interpersonal communication abilities.
• Demonstrated organizational and analytical skills along with sound professional judgment.
• Capability to maintain confidentiality and exercise discretion.
• Strong drafting skills and the ability to ensure consistent language across similar agreements.
