Paralegal

This is a fully remote position, open to applicants in Oklahoma, +4 more states.

📋 Description

• Prepare and submit SEC documents, which include Form 8-K, Section 16(a) filings, and periodic reports on Forms 10-Q and 10-K.

• Assist with state-level registrations and compliance requirements, encompassing annual reports and business licenses.

• Coordinate corporate governance initiatives across the Autolus group, including its subsidiaries located in the United Kingdom, Germany, and Switzerland.

• Maintain and organize corporate documentation, such as minute books, resolutions, and bylaws.

• Support corporate transactions, including financings, mergers, and acquisitions.

• Conduct legal research, providing updates and analysis on various corporate legal issues.

• Collaborate with external counsel and regulatory bodies as necessary.

⛳️ Requirements

• A minimum of 5–7 years of experience as a corporate paralegal within a corporate legal department or law firm, with a focus on SEC filings and state registrations.

• Preferred experience in managing corporate governance activities for entities in the United Kingdom, Germany, and/or Switzerland.

• Paralegal certification from an accredited institution is preferred.

• A bachelor's degree in Paralegal Studies, Legal Studies, or a related field is preferred.

• Strong understanding of federal and state securities laws and regulations.

• Comprehensive knowledge of corporate governance and associated compliance issues.

• Exceptional written and verbal communication skills.

• Ability to handle multiple tasks and effectively prioritize.

• Detail-oriented with robust organizational abilities.

• Capability to work independently as well as collaboratively within a team.

• Proficiency in legal research tools and software.
