This is a fully remote position, open to applicants in Colorado, +1 more state.
• Develop and oversee Intrinsic’s M&A tax diligence function within Transaction Advisory Services.
• Manage the tax diligence workstream across various simultaneous transactions from the initial scope to final delivery.
• Act as the primary tax advisor on intricate buy-side and sell-side transactions for private equity sponsors and mid-market companies.
• Assess entity structures, intercompany arrangements, and past filing positions.
• Examine federal income tax, state and local tax, employment tax, sales/use tax, and unclaimed property risks.
• Create succinct tax diligence reports and convert analyses into suggestions for purchase price adjustments, escrow requirements, indemnification measures, and representations and warranties.
• Counsel on tax-efficient structuring of corporate and flow-through transactions.
• Collaborate with financial due diligence teams, legal advisors, valuation experts, client deal professionals, finance teams, controllers, and external tax consultants.
• Establish tax diligence methodology, templates, checklists, and reporting frameworks.
• Consolidate technical insights, deal lessons, and emerging tax trends into reusable intellectual resources.
• Recognize cross-selling opportunities with TAS and FAAS leadership.
• Present intricate tax findings and provide advice to PE deal teams, CFOs, and legal advisors.
• Build the tax diligence team and cultivate the practice’s intellectual capital.
• Over 15 years of progressive experience in M&A tax, transaction tax advisory, or tax due diligence.
• Background at a Big 4 firm, a large law firm, a national advisory practice, or a specialized tax consultancy.
• Significant experience with middle-market private equity-backed transactions.
• Extensive technical knowledge in complex corporate and flow-through tax structuring.
• Proven success in leading complex, high-stakes transactions.
• Proficiency in entity classification, tax-efficient structuring, partnership and pass-through taxation, nexus and apportionment, transaction cost analyses, and the preservation and optimization of tax attributes.
• Experience in identifying and quantifying tax risks and opportunities related to transactions.
• Background in preparing comprehensive tax due diligence reports and presenting findings to sponsors, investors, and deal teams.
• Extensive experience in evaluating state and local tax risks, including nexus determinations, apportionment methodologies, sales and use tax exposure, unclaimed property compliance, and voluntary disclosure considerations.
• JD/LLM in Taxation, CPA, or a comparable credential is strongly preferred.
• Capability to articulate complex tax positions in straightforward terms.
• Ability to manage competing priorities among deal teams, management, auditors, and legal advisors.
• Proficiency in developing methodologies, templates, and playbooks.
