M&A Attorney

This is a fully remote position, open to applicants in India.

📋 Description

• Conduct simulated negotiations and redlining exercises for M&A contracts across various transaction documents.

• Assess and critique AI-generated outputs related to M&A legal scenarios, offering comprehensive feedback to enhance model precision and legal reasoning.

• Create organized evaluation frameworks, scoring metrics, and quality benchmarks for measuring AI effectiveness on transactional legal tasks.

• Work alongside cross-disciplinary product, research, and engineering teams to improve AI training datasets, legal protocols, and best practices.

• Utilize practical legal judgment to pinpoint contractual risks, negotiation tactics, and drafting enhancements within intricate M&A agreements.

• Provide subject matter expertise to advance AI systems focused on transactional law, contract assessment, and legal analysis.

⛳️ Requirements

• Juris Doctor (J.D.) degree from an ABA-accredited law school.

• Current bar membership in at least one U.S. jurisdiction.

• At least 2 years of experience within the Mergers & Acquisitions (M&A) practice group at a corporate law firm.

• Strong knowledge of standard M&A transaction documents, such as Asset Purchase Agreements (APAs) and Stock Purchase Agreements (SPAs).

• Exceptional written and verbal communication skills, with a keen eye for detail.

• Robust analytical and critical thinking skills, with the ability to convert legal expertise into structured, actionable insights.

• Proven interest in legal innovation and emerging technologies.

• Experience working collaboratively with cross-functional teams in fast-paced, dynamic settings.
