• Negotiate and document financing transactions related to real estate, including construction loans, permanent debt facilities, sale-leaseback arrangements, and credit facilities secured by property.
• Provide advisory services and structure joint ventures, co-investment arrangements, and partnership agreements with infrastructure investors and strategic partners.
• Draft and negotiate term sheets, loan agreements, intercreditor agreements, security documents, and other relevant financing instruments.
• Support corporate venture activities encompassing minority investments, strategic partnerships, and corporate development transactions that involve real estate.
• Collaborate with Finance, Treasury, and Accounting teams on legal matters concerning capital structure decisions and adherence to debt covenants.
• Engage with external lenders, investors, and their legal representatives to efficiently close transactions on favorable terms.
• Oversee external legal counsel for financing transactions, ensuring cost management and strategic alignment.
• Maintain and revise standard financing documents, term sheet templates, and investor agreement playbooks.
• Advise on securities law implications in relation to investor outreach and deal structuring.
• Assist the General Counsel with board-level and investor reporting pertaining to financing and venture activities.
• Juris Doctor (J.D.) from an accredited law school; admission to a U.S. state bar is mandatory.
• 6 to 10 years of experience in real estate finance, structured finance, or capital markets law.
• Extensive knowledge of secured lending, debt structuring, and documentation in real estate finance.
• Experience in joint venture formation, investor structuring, and drafting partnership agreements.
• Ability to advise on complex, multi-party transactions with stringent timelines.
• Strong business acumen and the capability to engage in strategic discussions regarding deal structure and risk allocation.
• Preferred experience working with institutional lenders, private equity sponsors, or infrastructure investors.
• Experience at a prominent real estate or finance-oriented law firm along with in-house counsel experience is preferred.
• Familiarity with finance in the data center, energy infrastructure, or technology real estate sectors is preferred.
• Knowledge of REIT structures, sale-leaseback transactions, or build-to-suit financing is preferred.
• Experience assisting with VC or growth equity financing transactions alongside real estate finance efforts is preferred.
