• Identify and assess legal risks in commercial transactions, clearly highlighting issues and proposing viable solutions rather than merely outlining problems.
• Draft, review, and negotiate a substantial number of diverse commercial contracts, including but not limited to EPC agreements, equipment purchase and supply contracts, power purchase agreements, land licenses, and vendor/service agreements.
• Act as a strategic legal partner to the business development, procurement, construction, and finance teams, offering practical, deal-oriented advice under time constraints.
• Develop and maintain Giga’s contract templates, playbooks, and standard terms to facilitate faster and more consistent business operations.
• Provide support for financing and real estate transactions when necessary, including the review of lease agreements, easements, and financing documents.
• Oversee outside counsel relationships concerning commercial matters, including defining the scope of work, managing expenditures, and ensuring quality deliverables.
• Assist in the development of legal processes and infrastructure as Giga expands, including contract management systems and internal workflows.
• Remain informed about legal developments pertinent to energy infrastructure, construction, and AI data center development.
• Juris Doctor (JD) from an accredited law school and active bar admission in at least one U.S. jurisdiction.
• A minimum of 4 years of commercial transactional experience, whether in a law firm or an in-house setting.
• Proven experience in negotiating complex commercial contracts, preferably in construction, energy, real estate, or infrastructure sectors.
• Ability to work autonomously with a strong sense of ownership — you take initiative and do not wait for direction on what needs to be done next.
• Excellent written and verbal communication skills, with the capability to simplify legal complexities into straightforward business language.
