Legal Counsel – Finance and Corporate Development

This is a fully remote position, open to applicants in Texas.

📋 Description

• Oversee corporate financing and capital markets transactions, including revolving credit facilities, asset-backed term loans, and structured finance, from the term sheet stage to closing, independently driving deals with input and guidance from the AGC.

• Provide advice to Finance stakeholders on contract terms, legal and business risks, and other essential transaction matters.

• Assist with corporate development and strategic transactions as needed.

• Draft, review, structure, and negotiate term sheets and definitive agreements, such as credit agreements, parent guarantees, security packages, and ancillary documents, while exercising sound judgment on risk allocation and deal structure.

• Aid the Finance team in due diligence and manage document flow and closing logistics involving external counsel and internal teams.

• Assist the Finance team in ongoing covenant compliance efforts.

• Support entity formations, intercompany transactions, and related corporate activities.

• Keep organized internal deal files and create standardized templates to enhance team efficiency and ensure transaction consistency.

• Collaborate closely with various business teams, including Finance and Corporate Development, Cloud Sales, Digital Infrastructure, and Commercial.

⛳️ Requirements

• Juris Doctor (J.D.) from an accredited law school and active bar admission in any state.

• 7-10 years of transactional legal experience, with significant and progressive involvement in complex corporate and finance transactions at a leading law firm or in-house legal department.

• A highly collaborative, low-ego, adaptable team player who excels in working within a small team to learn, solve problems, achieve shared outcomes, and foster a positive culture.

• Proficient in drafting, structuring, and negotiating loan or other financing documentation with remarkable attention to detail.

• Demonstrated strong business acumen, with a proven ability to weigh legal risks against commercial objectives.

• Solid understanding of corporate governance and compliance best practices.

• Experience in managing multiple high-stakes workstreams concurrently in a fast-paced, dynamic environment.

• Capable of handling highly sensitive and confidential information with the utmost professionalism.

• Proficient in Google Workspace, Microsoft Office, and AI tools.
