Legal Counsel – Americas

This is a fully remote position, open to applicants in Brazil.

📋 Description

• Evaluate, draft, and negotiate commercial agreements, placing a strong emphasis on:

• Service agreements, statements of work, and modifications

• Data processing contracts and terms related to privacy

• Non-disclosure agreements and various commercial documentation

• Assist in negotiations with clients in the U.S. and internationally, mainly throughout the Americas.

• Apply and advocate for standard contractual positions, playbooks, and frameworks for risk allocation.

• Recognize legal and commercial risks and suggest practical, business-focused solutions.

• Collaborate with internal teams (commercial, compliance, operations, IT/security) to facilitate deal execution.

• Aid in the ongoing enhancement of contract templates, standard positions, and internal procedures.

• Utilize legal technology and AI-driven tools to enhance contract review, drafting, and uniformity.

⛳️ Requirements

• Strong background in reviewing and negotiating commercial contracts governed by U.S. law.

• Knowledge of:

• Service agreements and the structure of statements of work

• Data protection principles (including DPAs and fundamental U.S./international privacy frameworks)

• Experience with contracts in the Americas region (U.S., Latin America, cross-border issues) is highly advantageous.

• Proficiency in using contract management systems, collaboration tools, and AI-assisted legal technologies.

• Exceptional written and verbal communication skills in English.
