
In-House Associate – Real Estate Counsel

This is a fully remote position, open to applicants in Philippines.
• Engage and collaborate with Acquisition Officers and Asset Management teams on all major real estate transactions.
• Prepare and negotiate Purchase and Sale Agreements for standard fee acquisitions, distressed debt, and bankruptcy deals.
• Draft and negotiate leases (primarily complex agreements and for large space users), letters of intent, subleases, amendments, assignments, temporary license agreements, and other associated leasing documents.
• Offer legal guidance and direction to the Company concerning the legal aspects of all ongoing strategic acquisitions and leasing issues.
• Collaborate with the Company’s In-House General Counsel to provide insights on all matters requiring legal review and assistance, and act as a liaison with outside counsel when necessary.
• Organize and distribute legal documents (including letters of intent, leases, memoranda of lease, estoppel certificates, subordination, attornment and non-disturbance agreements, and lease amendment formats) and templates for repetitive use by the Asset Management and Property Management departments, incorporating additional and alternate provisions as needed.
• Develop and establish “Policies and Procedures” for the creation and management of real estate legal documents.
• Undertake other special projects or assignments as required.
• Juris Doctor degree and in good standing with a state bar, preferably California or other U.S. states.
• Meet the bar license requirements by attending necessary continuing legal education courses, focusing on real estate, construction, financing, business, and corporate law.
• 5-7 years of legal experience at a reputable law firm in the commercial real estate sector or in-house at a real estate company, concentrating on acquisitions, leasing, and compliance in all areas of legal risk.
• Experience in Bankruptcy, Re-Structuring, DIP and Stalking Horse financing, and Sale Leaseback transactions is a plus.
• Exceptional communication skills, encompassing written, verbal, and interpersonal abilities.
• Comfortable operating in a fast-paced, high-activity environment, capable of managing ambiguity and multiple priorities.
• Ability to effectively collaborate cross-functionally across teams with a positive demeanor.
• Capable of working independently with minimal supervision.
• Proven track record of maintaining confidentiality.
• Proficient in Microsoft Word, with basic knowledge of Microsoft Excel and Outlook.
