• Act as a key member of the Executive Leadership Team, playing a vital role in shaping enterprise strategy, fostering value creation, and managing risks.
• Serve as a trusted legal and business advisor to the CEO, CFO, and private equity stakeholders.
• Assist with private equity governance requirements, including preparation of board materials/minutes, securing approvals, establishing delegated authority frameworks, and managing portfolio reporting.
• Provide legal insights on acquisitions, capital structure, operational scaling, and exit strategies.
• Ensure legal preparedness for exit, guaranteeing the company is ready for buyer due diligence in areas such as: Commercial and customer contracts, Intellectual property and software ownership, Corporate governance and entity structure, Privacy, data protection, and security programs, Employment, equity, and contractor arrangements.
• Proactively identify, prioritize, and address legal risks that could affect valuation, deal certainty, or transaction schedules.
• Oversee legal execution for strategic acquisitions, including the review and structuring of Letters of Intent (LOI).
• Engage in drafting and negotiating purchase agreements, structuring and negotiating representations, warranties, indemnities, escrows, earnouts, and post-closing covenants.
• Create scalable contract standards that harmonize revenue growth with acceptable risk profiles for buyers.
• Juris Doctor (JD) degree from an accredited law school.
• Active license to practice law in at least one U.S. jurisdiction.
• Over 10 years of progressive legal experience with substantial in-house responsibilities.
• Proven experience managing external legal counsel on matters such as M&A purchase agreements, lender and financing agreements, and ongoing litigation and disputes.
• Strong commercial acumen and the capability to function at the executive leadership level.
• Experience supporting operations across multiple jurisdictions and global workforces.
• Background in private equity-backed companies, particularly in vertical software, SaaS, or technology-enabled sectors, is highly desirable.
