General Counsel

This is a fully remote position, open to applicants in United Kingdom.

📋 Description

• Assist R&D operations, which includes reviewing and drafting intricate B2B contracts (facilities lease, insurance, scientific and lab equipment purchase/rental, construction, and maintenance agreements).

• Aid in the launch of new R&D initiatives, overseeing the process from incorporation to transition to the relevant operating teams.

• Provide legal assistance on US/UK labor, employment, and contracting issues in collaboration with appropriate teams.

• Manage US/UK corporate governance matters, including board and shareholder actions, capitalization table management, and corporate documentation.

• Handle IP and R&D contracts, encompassing assignment/inventions, deliverables and acceptance, IP rights, and patent procurement.

• Create policies pertaining to R&D and corporate operations, including data protection, disclosures, IP, and HR matters.

• Draft, review, and negotiate transactional documents related to minority and majority investments, incubation, and spin-outs, including stock purchase agreements (SPAs), shareholder agreements (SHAs), and articles of incorporation.

• Support transactions throughout the due diligence process to closing, with a focus on IP issues.

⛳️ Requirements

• Primary experience with US/UK legal systems.

• Proven experience in supporting new business launches is essential.

• A minimum of 5 years of professional experience in contract law across a variety of contract types.

• Experience in corporate law, mergers and acquisitions, or venture capital transactions is preferred.

• Strong skills in transactional drafting and negotiation.

• Background in venture capital, startups, or scale-ups as a corporate counsel.

• Experience with cross-border transactions.

• Experience in a deep tech and biotech context is a plus.

• Excellent proficiency in English; knowledge of Russian is advantageous.

• Ability to work remotely with international stakeholders in a dynamic, innovation-oriented environment.
