EVP, General Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• The General Counsel and Executive Vice President is tasked with offering legal and business advice across various aspects of ChartSpan.

• Ensure adherence to regulatory and compliance standards in all privacy practices.

• Identify potential privacy and security vulnerabilities and provide guidance on risk avoidance and mitigation strategies.

• Develop and execute corrective action plans to resolve problematic issues.

• Assist in the establishment and maintenance of a robust internal control system that complies with federal, state, and local statutes and regulations.

• Anticipate and protect against legal risks that may affect the company.

• Identify, analyze, and report on significant legislative and regulatory developments.

• Offer legal counsel on issues stemming from actual or potential lawsuits.

• Formulate and recommend the company’s policy and position regarding legal matters.

• Conduct and coordinate research on various legal issues.

• Represent ChartSpan, as appropriate, in diverse legal proceedings.

• Draft, review, and edit reports, opinions, correspondence, contracts, and other legal documents.

• Prepare and manage complex contracts with vendors, clients, and employees as necessary.

• Serve as the primary point of contact for government investigations and inquiries.

• Oversee external counsel and general litigation; provide input on decisions regarding the engagement of outside counsel.

• Maintain essential knowledge and skills related to Medicare compliance.

• Lead legal due diligence, deal structuring, and post-closing integration for mergers, acquisitions, and technology partnerships.

• Advise on regulatory and compliance risks associated with remote patient monitoring, connected medical devices, and health data platforms.

• Monitor program compliance related to Medicare chronic care management and remote patient monitoring.

• Negotiate and manage enterprise agreements with health systems, hospital associations, and payer-adjacent partners.

• Report to and advise the Board of Directors on matters related to legal, governance, and enterprise risk.

• Perform other duties as assigned.

⛳️ Requirements

• Must have successfully completed a full course of study in a law school accredited by the American Bar Association (ABA) and hold the first professional law degree, LLB or JD.

• Must currently be a member in good standing of the bar in any U.S. state.

• Possess ten or more years of professional legal experience gained post-bar admission, commensurate with the responsibilities of the role.

• Previous leadership experience as in-house counsel is required.

• Experience in developing and implementing internal compliance policies and procedures is essential.

• Required experience working with the board of directors and board committees.

• Proven experience in leading legal due diligence, structuring, and integration for mergers, acquisitions, and technology or data-platform partnerships.
