This is a fully remote position, open to applicants in United States.
• Collaborate closely with the Chief Strategy Office and Legal leadership throughout all phases of acquisition transactions, which include non-disclosure agreements, term sheets, letters of intent, deal structuring, managing deal processes, drafting and negotiating definitive documents, closing deals, and assisting with integration and post-closing activities.
• Lead the legal due diligence efforts and liaise with various functions to convey findings, risks, and suggested solutions to stakeholders.
• Serve as a key communicator and coordinator across different functions and levels to facilitate the completion of transactions.
• Create strategies and tools aimed at driving continuous enhancements in deal processes and execution, including leveraging AI technologies.
• Provide support for the corporate venture capital program and investments, managing associated relationships with outside counsel and their engagements.
• Formulate legal strategies and effective processes to coordinate and oversee investments and ongoing portfolio management.
• Take a prominent role in negotiating and drafting strategic commercial and technology transactions and partnerships.
• Assist the broader Legal Department and Chief Strategy Officer with other high-priority tasks and additional corporate or transactional matters.
• A minimum of 5 years of legal experience in M&A, particularly with a focus on strategic acquisition transactions, along with some in-house or outside counsel experience that involves a recurring buy-side relationship with an acquisitive client.
• Proven experience in independently negotiating and managing complex strategic transactions.
• Ability to think innovatively, operate autonomously, and proactively in a fast-paced environment.
• Demonstrated growth mindset and a strong initiative—ambitious, adaptable, and eager to take ownership while tackling unfamiliar challenges with confidence.
• Exceptional legal and business judgment, meticulous attention to detail, and a proven ability to address complex problems.
• Strong process orientation with a passion for continuous improvement and a high level of comfort in utilizing AI and other technologies to facilitate transactions.
• A collaborative team player who is willing to adapt and meet the diverse needs of a dynamic legal department.
• Effective communication skills with stakeholders and executives.
• Active bar membership (in good standing) in your state of residence, with eligibility to practice as in-house counsel.
