This is a fully remote position, open to applicants in United States.

📋 Description

• Oversee the legal review, drafting, negotiation, and management of procurement contracts throughout the organization.

• Review, draft, redline, and negotiate SaaS subscriptions, professional services agreements, licensing agreements, SOWs, and MSAs.

• Manage agreements for select major clients.

• Provide support for strategic partnerships that influence Coalfire and its subsidiaries.

• Offer guidance to internal business partners on contracting, product development, marketing processes, policies, guidelines, and exceptions.

• Conduct legal reviews of proposals, RFP responses, and third-party risk assessments.

• Advise on data privacy, security, and compliance obligations, including GDPR and HIPAA regulations.

• Oversee the contract lifecycle, encompassing renewals, amendments, terminations, and close-out documentation.

• Act as the primary legal contact for negotiations related to supplier and partner contracts.

• Deliver training on procurement contracting, risk management, and compliance.

• Assist in risk management, litigation initiatives, special contract and product projects, and corporate governance filings.

• Prioritize and execute assigned projects and tasks efficiently.

• Monitor trends and best practices concerning emerging legal and business risks.

• Willingness to travel up to 10%.


⛳️ Requirements

• Minimum of 10 years of experience as a contracts professional with a strong emphasis on procurement agreements.

• At least 3 years of experience in supporting Partnership and Procurement Reviews.

• A keen interest in transactional law and the cybersecurity sector.

• Experience in both in-house and remote environments is advantageous.

• Exceptional written, verbal, and interpersonal communication skills.

• Demonstrated ability to build stakeholder relationships, along with strong organizational and analytical skills.

• Sound professional business judgment.

• Capacity to maintain confidentiality and exercise discretion.

• Strong drafting abilities and the capability to ensure consistent language across similar agreements.

• Excellent problem-solving and analytical capabilities.

• Proactive, attentive, adaptable, and skilled in prioritization.

• A conscientious work style and commitment to accountability.

• A paralegal certificate is a plus.
