Corporate, ECVC Associate

This is a fully remote position, open to applicants in New York.

📋 Description

• Act as the lead ECVC attorney for a group of VC-funded startup clients ranging from pre-seed to Series B stages.

• Manage board consents, equity allocations, hiring and termination processes, as well as daily corporate affairs.

• Prepare and assess governance documents, SAFEs, convertible notes, and priced-round agreements for Delaware C-Corps and PBCs.

• Interact with founders on a daily basis within a subscription framework.

• Oversee and delegate tasks to paralegals.

• Assist engineers in enhancing internal tools and processes.

⛳️ Requirements

• 2–6 years of experience following the completion of a JD.

• Substantial ECVC/startup corporate experience gained in Big Law, in-house, or through independent practice.

• Diverse experience across various clients and industries.

• Juris Doctor (J.D.) degree.

• Current bar admission.

• Must be a US citizen or holder of a Green Card.

• Proficient with AI tools.

• Enthusiastic about the opportunity to build a firm from the ground up.
