Corporate Counsel

This is a fully remote position, open to applicants in Kentucky.

📋 Description

• Take ownership of commercial contracts, including client and law-firm agreements, vendor and supplier contracts, NDAs, business associate agreements, and SaaS/technology agreements, by creating templates that facilitate same-day turnarounds for routine deals.

• Manage recurring financing and commercial financing tasks (funding and advance agreements, working-capital-adjacent contracts, intercompany terms) end-to-end; collaborate closely with the CFO on larger credit facilities and capital-markets issues, reviewing term sheets and loan agreements, and refining redlines before documents are sent to outside counsel.

• Oversee employment and HR legal matters — policies, offer and separation documents, drafting and strategizing restrictive covenants, and addressing daily employment inquiries — while working closely with our HR leadership and acting as the internal advocate in our relationship with outside employment counsel by participating in complex issues and translating legal reasoning into actionable internal solutions.

• Corporate governance — develop a strong understanding of our operating agreement, shareholder agreements, and cap table, becoming the internal reference point for governance inquiries such as board versus shareholder decision authority, various shareholder classes, and supporting entity structure maintenance and board/resolution matters.

• Manage basic intellectual property and trademark protection, particularly concerning our technology products.

• Serve as the single point of contact for all outside counsel relationships — scoping and managing engagements and expenditures, consolidating the counsel panel, and gradually bringing routine work back in-house.

⛳️ Requirements

• Approximately 4–7 years of experience in corporate law, preferably gained from an AmLaw 100 firm or an equivalent environment with rigorous training.

• Juris Doctor (J.D.) degree and active bar membership in good standing.

• A background in corporate, finance, or transactional law — you have actively drafted and negotiated financing and commercial agreements, not merely reviewed documents.

• Previous experience in a private-equity-backed company and M&A transactions.

• Strong corporate fundamentals with the versatility to function as a generalist across contracts, employment, and governance — possessing the judgment to determine when to address issues directly or involve the CFO or outside counsel.

• A proactive approach with a focus on quick turnarounds, aligning effort with the stakes involved.

• Ability to work autonomously as the sole in-house lawyer, with outside counsel available for support.

• A pragmatic, business-oriented mindset: providing clear answers and practical solutions rather than merely listing risks.

• A genuine interest in an in-house generalist position with a sustainable pace — rather than simply seeking to escape law-firm hours.
