This is a fully remote position, open to applicants in Belgium.
• Deliver essential support for corporate governance, securities laws, and corporate housekeeping.
• Implement the long-term ESG strategy effectively.
• Supervise and manage the Company's and key stakeholders' obligations under Dutch, Belgian, and U.S. securities laws, ensuring compliance with reporting requirements.
• Enhance policies and provide advice on adherence to the EU Market Abuse Regulation.
• Offer guidance on employee equity incentive plans.
• Assist in corporate governance matters, including the development, monitoring, and execution of exemplary legal policies and practices.
• Coordinate global group structuring, corporate housekeeping, and compliance for local entities in partnership with external advisors.
• Support the preparation of the Company's annual reporting materials, which includes the annual report and general meetings.
• Manage compliance with CSRD and reporting requirements while aiding in the execution of the long-term ESG strategy.
• Stay informed about legal and regulatory changes and best practices in relevant legal areas.
• Juris Doctor degree and a valid license to practice law in the Netherlands (preferred) or Belgium.
• Proficient in both Dutch and English.
• In-depth knowledge of Dutch or Belgian and EU laws and regulations applicable to publicly traded companies and their reporting requirements (including DCGC, MAR, Euronext listing regulations).
• Familiarity with U.S. laws and regulations applicable to Foreign Private Issuers (FPIs) and other ongoing listing and reporting obligations is advantageous, along with the ability to identify issues and liaise with U.S. local counsel on these matters.
• Interest in or affinity for the evolving ESG regulatory landscape pertinent to dual-listed EU/US entities (such as CSRD, CSDD D, and EU Omnibus Regulation).
• Ongoing subject matter expertise development through a post-master’s specialization (e.g., Grotius/VU Law academy or equivalent) in relevant fields (such as corporate law, law & finance, public M&A) is desirable.
• Capacity to thrive in a fast-paced environment, managing multiple conflicting priorities independently while handling a significant workload and fostering relationships across the organization to achieve results.
• Strategic and pragmatic approach, with the ability to anticipate issues, identify opportunities for simplification and improvement, assess legal risks in the broader business context, and communicate effectively to diverse audiences.
