Commercial Legal Counsel, Fluent Ukrainian and English

This is a fully remote position, open to applicants in Ukraine.

📋 Description

• Negotiate, draft, and review various commercial agreements, including Master Service Agreements (MSAs), Statements of Work (SOWs), Non-Disclosure Agreements (NDAs), buyout agreements, assignment agreements, and other contracts related to clients;

• Evaluate suppliers and vendors, perform legal due diligence, and review and manage supplier agreements to ensure alignment with company standards and business goals;

• Manage intellectual property (IP) issues, encompassing copyright matters and overall IP protection;

• Offer legal guidance and support to internal teams (HR, IT, Marketing, Finance) on contractual, commercial, and compliance issues;

• Stay updated on changes in international legislation pertinent to the business and suggest revisions to internal policies, templates, and contractual frameworks.

⛳️ Requirements

• Master's degree in law

• Proficiency in English and Ukrainian, including expertise in legal drafting

• Over 2 years of professional legal experience in commercial, corporate, or technology law

• Fundamental understanding of data protection and privacy laws, such as GDPR and related regulations

• Demonstrated experience in negotiating, drafting, and reviewing contracts with clients and suppliers

• Strong analytical, legal, and research capabilities, with a keen attention to detail

• Goal-oriented, proactive, and adept at working in a dynamic, business-focused environment.

• Experience with copyright/IP disputes (considered an advantage)

• Knowledge of U.S. or U.K. contract law (considered an advantage)

• Previous experience in product or service-based IT companies (considered an advantage).
