This is a fully remote position, open to applicants in United States.

📋 Description

• Negotiate, draft, and review intricate commercial and technology agreements, encompassing partnership, services, consulting, marketing, licensing, data privacy, and artificial intelligence contracts.

• Independently oversee strategic and high-priority issues related to significant transactions, collaborating closely with internal stakeholders and external entities.

• Provide guidance to Sales and cross-functional GitLab teams on contract structure, risk distribution, and practical negotiation tactics that align with business objectives while safeguarding GitLab’s interests.

• Conduct risk assessments on contractual documents and propose mitigation strategies, including escalation routes and alternative terms.

• Benchmark, create, and sustain contract templates, playbooks, policies, and supporting documentation, integrating regional legal requirements and stakeholder feedback.

• Stay informed on legal and regulatory developments, evaluate their effects on GitLab’s contracting practices, and suggest clear, actionable revisions to templates and processes.

• Develop and present training for contract managers and Sales team members to enhance consistency in contracting and improve everyday decision-making.

• Assist the Public Sector sales team with federal, SLED, and government-related transactions, including negotiating agreements subject to FAR/DFARS requirements, GSA Schedule terms, and agency-specific flow-down clauses.

• Counsel on FedRAMP-related contracting obligations, including data sovereignty commitments, government-specific data handling requirements, and authorized use restrictions relevant to GitLab’s compliant product offerings.

• Draft and maintain public sector contract templates, playbooks, and order form language that satisfy government procurement criteria, including FedRAMP authorization conditions, SLED-specific terms, and applicable regulatory flow-downs.

• Collaborate with Sales, Security, and Compliance teams to evaluate and convey the contractual implications of government certification and authorization programs, ensuring that contract terms accurately represent GitLab’s authorized configurations and service boundaries.


⛳️ Requirements

• J.D. from an accredited law school and active bar membership in at least one U.S. state.

• Experience at a prominent law firm and/or in an in-house legal department (preferably focused on commercial and technology transactions).

• Proficiency in negotiating and drafting intricate commercial and technology agreements, including software, SaaS, services, consulting, marketing, licensing, partnerships, data privacy, and artificial intelligence-related terms.

• Capability to independently manage a high volume of strategic and high-priority matters and drive agreements to closure with internal stakeholders and external partners.

• Awareness of regional legal requirements and comfort in collaborating with outside counsel to inform contract terms, templates, and policy enforcement.

• Practical skills in identifying risks and mitigating them, with the ability to provide clear, business-focused guidance that safeguards GitLab’s interests.

• Experience in enhancing or creating templates, playbooks, processes, and documentation to promote consistent contracting outcomes across teams.

• Excellent communication and relationship-building abilities, including the aptitude to influence and act as a trusted advisor to sales and cross-functional leadership.

• Ability to create and deliver training sessions for sales team members.

• Comfort working in a remote, globally distributed environment across various time zones, with a willingness to learn about GitLab and its products (including using GitLab in your work).

• Working knowledge of federal government procurement frameworks, including the Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS), with experience in applying or negotiating flow-down clauses in commercial technology contracts.

• Familiarity with GSA Schedule contracting mechanics, such as ordering procedures, pricing requirements, and compliance obligations for software and SaaS vendors.

• Understanding of SLED procurement regulations and how state, local, and education contracts structurally and legally differ from standard commercial agreements.

• Experience advising on or negotiating FedRAMP-related contractual obligations, including authorized use restrictions, data handling and sovereignty commitments, and agency-specific security requirements.

• Familiarity with data sovereignty concepts as applied in government contracting contexts, including restrictions on data residency, processing, and access relevant to cloud services sold to government clients.
