This is a fully remote position, open to applicants in Alabama, +34 more states.
• Prepare, assess, and negotiate commercial agreements (e.g., MSAs, SOWs, BAAs/DPAs, SaaS and technology, services, licensing, data sharing) utilizing playbooks and clause libraries.
• Oversee redlines, issue lists, internal alignment, and approval workflows from initiation to execution; document deviations and approvals.
• Enhance and sustain templates, clause libraries, and playbooks to minimize cycle time and promote consistency.
• Identify potential legal issues and offer practical advice on relevant laws and regulations, including the Anti-Kickback Statute (AKS), Stark Law, False Claims Act, FDA/DEA requirements pertinent to pharmacy and telehealth operations, state pharmacy/professional licensing, PBM contracting/network participation, and HIPAA/HITECH.
• Perform targeted research, create summaries, and assist with regulatory analyses and alerts; collaborate with Compliance to ensure accountability across healthcare and pharmacy regulatory areas.
• Assist the Privacy team on HIPAA and data protection issues, encompassing incident response, breach investigations, and privacy compliance efforts.
• Draft, review, and negotiate agreements related to vendors, procurement, and operations (IT/SaaS, professional services, logistics/delivery, marketing vendors, clinical vendors), including MSAs, SOWs, order forms, renewals, and amendments.
• Provide prompt, business-focused legal counsel to Commercial, Partnerships, and Operations teams.
• Partner with Compliance on training materials, audits, and corrective measures.
• J.D. from an accredited law school and a valid license to practice law in at least one U.S. jurisdiction.
• 8–10 years of legal experience (at a law firm and/or in-house) in healthcare, digital health, or pharmacy; strong candidates with 4+ years will also be considered.
• Proven experience in drafting and negotiating commercial and technology agreements.
• Familiarity with vendor/procurement contracting and third-party risk management (e.g., SaaS/IT, SOWs, SLAs, security addenda, BAAs/DPAs).
• Working knowledge of healthcare regulatory frameworks (e.g., AKS, HIPAA, FDA, DEA, PBM) with a willingness to enhance expertise and collaborate with specialists.
• Exceptional communication, judgment, and organizational skills with a practical, business-oriented mindset.
