Commercial, Healthcare Regulatory Counsel

📋 Description

• Prepare, assess, and negotiate commercial contracts, including pharmacy service agreements, PBM network participation contracts, payer/client contracts, specialty pharmacy agreements, data sharing contracts, BAAs/DPAs, SaaS and technology contracts, licensing agreements, MSAs, and SOWs.

• Oversee redlines, issue lists, internal alignment, and approval processes until execution; document deviations and approvals.

• Enhance and maintain templates, clause libraries, and playbooks to minimize cycle time and ensure consistency.

• Identify issues and offer practical advice regarding relevant laws and regulations, such as the Anti-Kickback Statute (AKS), Stark Law, False Claims Act, and FDA/DEA regulations pertinent to pharmacy and telehealth operations.

• Perform focused research, prepare summaries, and assist with regulatory analyses and alerts; collaborate with Compliance to ensure ownership and accountability in healthcare and pharmacy regulatory areas.

• Collaborate with external legal counsel on complex or unique regulatory inquiries; assist in implementing recommendations.

• Aid the Privacy team on HIPAA and data protection issues, including incident response, breach investigations, and privacy compliance tasks.

• Draft and negotiate privacy and security clauses in client and vendor agreements, including BAAs, DPAs, and security addenda.

• Work with internal stakeholders to identify and address data handling risks; promote privacy-by-design principles.

• Draft, review, and negotiate vendor, procurement, and operational agreements (IT/SaaS, professional services, logistics/delivery, marketing vendors, clinical vendors).

• Collaborate with Procurement, Finance, Security/IT, Privacy, and Compliance on intake, due diligence, and approvals (e.g., security questionnaires, BAAs/DPAs, SOC 2/ISO documents, COIs).

• Negotiate and document SLAs, support/uptime, data handling/retention, audit rights, business continuity, termination/transition assistance, and fee/charge parameters.

• Provide prompt, business-focused legal counsel to the Commercial, Partnerships, and Operations teams.

• Contribute to process enhancements (e.g., workflow design, contract lifecycle management, playbook improvements, dashboards) that scale the legal function.

• Support the review of communications and marketing for external messaging, disclosures, and public statements.

• Collaborate with Compliance on training materials, audits, and corrective measures.

• Assist with risk assessments, internal inquiries, and remediation planning as necessary.


⛳️ Requirements

• Juris Doctor degree from an accredited law school and a valid license to practice law in at least one U.S. jurisdiction.

• 8–10 years of legal experience (law firm and/or in-house) in pharmacy, PBM, healthcare, or digital health; strong candidates with 5+ years will also be considered.

• Proven experience in drafting and negotiating commercial and technology agreements.

• Experience in vendor/procurement contracting and third-party risk management (e.g., SaaS/IT, SOWs, SLAs, security addenda, BAAs/DPAs).

• Knowledge of healthcare regulatory frameworks (e.g., AKS, HIPAA, FDA, DEA, PBM, state pharmacy laws) with a desire to deepen expertise and collaborate with specialists.

• Exceptional communication, judgment, and organizational skills with a practical, business-oriented mindset.

• Capability to excel in a fast-paced, dynamic organization while effectively managing multiple priorities.
