Commercial Counsel, GTM

This is a fully remote position, open to applicants in Guatemala.

📋 Description

• Review, draft, and negotiate commercial agreements with clients, vendors, and partners.

• Enhance and adapt our contracting strategies for government and public sector clients, including managing procurement requirements, regulatory obligations, and government-specific contracting frameworks.

• Assist with partner-led and channel transactions, which includes negotiating flowdown terms with resellers and other channel partners.

• Respond swiftly to legal inquiries and requests from stakeholders across Sales, Finance, and other departments.

• Stay updated on relevant laws, regulations, and industry standards, such as data privacy, AI regulations, and other emerging requirements affecting enterprise and government contracts.

• Contribute to the creation and maintenance of contract templates, playbooks, escalation guides, and other resources for the legal team; this involves designing and delivering training to empower GTM and cross-functional stakeholders to act more swiftly and independently on routine commercial matters.

• Identify, develop, and implement enhancements to contracting processes, workflows, and tools with a scalable, future-oriented perspective.

• Collaborate with cross-functional teams in Sales, Product, Finance, Security, and Privacy Legal to provide practical, solutions-oriented legal support.

⛳️ Requirements

• Licensed to practice law in the US.

• Over 5 years of in-house experience at a SaaS or rapidly growing tech company.

• Knowledge and understanding of Canva and/or SaaS products.

• Proficient in using contracting tools (e.g., Ironclad and DocuSign).

• Demonstrated interest or experience in utilizing AI tools in a legal or operational context.

• Experience negotiating with federal, state, and local government clients and familiarity with public sector procurement processes.

• Experience in supporting channel partner agreements, including those with resellers and systems integrators.

• Familiarity with FedRAMP, NIST frameworks, or other governmental cybersecurity and compliance standards.
