• Draft, review, and negotiate MSAs, SaaS subscription agreements, partner (channel) contracts (MSP, reseller, distributor), SOWs, NDAs, and BAAs for our AMER, EMEA, and APAC entities.
• Act as the primary legal authority for standard Sales, Partner, and Procurement contracts.
• Contribute to, maintain, and enhance the team's contracting playbooks.
• Provide consultation to stakeholders, including executives, on contracts without using complex legal terminology.
• Propose and implement processes to improve efficiency and foster relationship building.
• Integrate AI into workflows and work processes.
• Identify and escalate significant risk items; establish internal approval frameworks.
• Collaborate daily with Sales as a trusted legal advisor.
• Support channel and partner agreements across MSP, reseller, and distributor models.
• Accelerate contract processing by advising on risk trade-offs and innovative deal structures.
• Negotiate DPAs, BAAs, and related privacy addenda in accordance with GDPR, CCPA, and relevant data protection regulations.
• Raise data privacy inquiries and issues to privacy counsel.
• J.D. with active bar membership in at least one U.S. state, in good standing with no violations.
• Up to 3 years of legal experience focused on commercial contracting, preferably gained in-house or at a law firm.
• Proficiency in drafting and negotiating SaaS agreements, vendor/procurement contracts, and familiarity with data privacy addenda (NDAs, DPAs, BAAs).
• Strong understanding of contract law and data privacy principles (GDPR, CCPA).
• Experience with channel and partner models, including MSP, reseller, and distributor frameworks, as well as international business contracts.
• Excellent drafting skills and the ability to articulate legal risks in simple terms for non-lawyers.
• Self-motivated and comfortable working with high autonomy in a dynamic environment.
• Recognized relationship builder known for being a collaborative partner to Sales and cross-functional teams.
• Familiarity with, and genuine interest in, AI-assisted legal tools and workflow automation.
• Willingness to travel occasionally.
