Commercial Counsel

📋 Description

• Serve as the primary contact for legal inquiries throughout the organization – including Sales, Customer Success, Product, Engineering, Marketing, People Operations, and others.

• Take full responsibility for the contracting process from start to finish – drafting and negotiating a wide variety of agreements related to customers, vendors, and operational issues.

• Develop and manage the systems, processes, and programs that ensure the efficient operation of the Legal department.

• Collaborate with external counsel on specialized legal matters – offering context, overseeing workflow, and integrating their guidance back into the business.

• Keep abreast of the legal and regulatory environment that influences our operations.

• Contribute to establishing Legal’s visibility and reputation within the company – through effective and proactive communication.

⛳️ Requirements

• Juris Doctor degree from an accredited law school and an active bar membership in at least one US state.

• 4-7 years of experience in transactional law, with a significant emphasis on commercial contracts – whether at a law firm, in-house, or both.

• Strong understanding of SaaS and data licensing; experience negotiating with enterprise clients is advantageous.

• Familiarity with healthcare-related regulatory frameworks (HIPAA, No Surprises Act, CMS price transparency) – or a genuine willingness to learn about them.

• A humble attitude combined with a strong sense of ownership.

• An intellectually curious and flexible mindset – eager to gain a deep understanding of the business beyond just the legal inquiries presented.

• Ability to operate independently as the sole attorney in the room – and the confidence to acknowledge when more information is needed, without losing credibility.

• Familiarity with AI tools such as Claude and ChatGPT, along with experience managing the legal aspects of AI at TQ.
