This is a fully remote position, open to applicants in Germany.
• Draft, evaluate, and negotiate the complete spectrum of LI.FI's commercial agreements, such as API integration contracts, master service agreements, partnership contracts, and term sheets.
• Review and negotiate contracts with vendors and service providers related to procurement.
• Oversee the contract lifecycle from initial intake to execution, amendment, and renewal, ensuring version control and proper filing and tracking of executed agreements.
• Serve as the main legal point of contact for integration partners and enterprise clients during negotiations, managing multi-round redlines, organizing calls with opposing counsel, and driving deals to completion.
• Collaborate closely with the business development team as the primary legal advisor on commercial issues, providing timely guidance on contractual risks, commercial structuring, and partner onboarding.
• Evaluate and allocate risk in commercial terms, including liability caps, indemnification frameworks, limitations of liability, warranty disclaimers, and governing law/dispute resolution clauses.
• Create and maintain LI.FI's standard commercial templates, playbooks, and intake processes; identify trends in negotiations, integrate improvements into template language, and establish scalable processes.
• Review and mark up counterparty documents and provide clear, commercially sound recommendations to the General Counsel on escalated risk matters.
• Assist with regulatory-adjacent commercial tasks, including the contractual execution of compliance obligations imposed by regulated integration partners (e.g., vendor due diligence questionnaires, AML representations, regulatory status confirmations).
• Coordinate with external legal counsel on jurisdiction-specific inquiries that arise during negotiations, particularly concerning governing law, enforceability, and local regulatory requirements.
• Qualified attorney admitted to a recognized bar (preferably in the US, UK, or an EU member state), comfortable negotiating contracts governed by English or US law, with assistance from local counsel as needed.
• Over 3 years of post-qualification experience (PQE) with a minimum of 2 years in-house experience managing commercial contracts.
• Prior in-house experience in a regulated technology, fintech, or financial services setting is highly desirable.
• Proven experience negotiating enterprise SaaS, API, or platform integration agreements; comfortable working from both your own documents and those of the opposing party.
• Strong commercial acumen: you recognize that legal supports the business, and you are at ease making risk-based decisions without defaulting to escalation.
• Able to operate independently in a remote, asynchronous team environment — you manage your own tasks, identify issues proactively, and communicate clearly in writing.
• Experience collaborating with counterparties of varying complexity, from early-stage crypto projects to large financial institutions with extensive legal teams and stringent documentation.
• Familiarity with the regulatory landscape relevant to crypto/DeFi infrastructure is a significant advantage but not mandatory: you will gain knowledge on the job with guidance from a General Counsel who can provide regulatory context.
