This is a fully remote position, open to applicants in United States.
• Offer practical legal counsel on commercial real estate transactions, including acquisitions, dispositions, leasing, financing, development, construction, property management, and asset administration.
• Prepare, review, and negotiate documents and agreements related to commercial real estate transactions.
• Oversee legal due diligence processes, which encompass title, survey, zoning, environmental, organizational, lease, and property-record evaluations.
• Recognize, assess, communicate, and assist in mitigating legal and business risks.
• Manage the execution of transactions from structuring through to closing, ensuring all closing deliverables are met.
• Collaborate with business, finance, operations, tax, compliance, risk, and various other stakeholders.
• Coordinate and oversee the work of outside counsel, title companies, surveyors, consultants, brokers, lenders, counterparties, and other participants in transactions.
• Provide guidance on ongoing contractual compliance and commitments post-closing.
• Conduct research on commercial real estate law as well as relevant federal, state, and local regulations.
• Assist with real estate disputes, claims, and pre-litigation issues.
• Keep organized legal files, transaction records, agreements, and status reports while ensuring the confidentiality of information.
• Undertake additional responsibilities as assigned.
• Juris Doctor degree from an accredited law institution.
• Active membership in good standing with at least one U.S. state bar.
• Ability to practice in the relevant jurisdiction or acquire necessary in-house counsel registration.
• A minimum of four (4+) years of substantial experience in commercial real estate.
• Proven experience in drafting and negotiating commercial real estate transaction documents and managing due diligence and closings.
• Strong understanding of commercial real estate transactions, leasing, title and survey issues, financing, entity structures, due diligence, and closing procedures.
• Excellent skills in contract drafting, legal analysis, negotiation, identifying issues, and assessing risks.
• Capability to simplify complex legal concepts into clear, concise, and actionable guidance for business.
• Sound judgment in balancing legal risks, business goals, operational requirements, and transaction timelines.
• Strong project management and organizational abilities.
• Capacity to work independently, exercise discretion, and collaborate with executives, business partners, external counsel, and counterparties.
• High attention to detail and dedication to accuracy, responsiveness, professional ethics, and client service.
• Proficiency with Microsoft Office and tools for legal research, contract management, document management, and electronic signatures.
