This is a fully remote position, open to applicants in Tennessee.
• Create and revise contract frameworks and templates for digital distribution agreements, licensing arrangements, and tailored client and partner agreements.
• Evaluate, revise, and assist in the negotiation of digital distribution agreements, addenda, and customized client and partner contracts.
• Bring novel or high-risk issues to the attention of the Director of Business and Legal Affairs.
• Work collaboratively with internal stakeholders to grasp business requirements and integrate them into contractual provisions.
• Manage legal workflows and contract lifecycle updates using project management tools, primarily Monday.com.
• Monitor contract project progress and deliver timely updates to the Director and relevant teams.
• Conduct entity verification and KYC/KYB due diligence across U.S. and international registries, including sanctions/PEP screening and identity verification.
• Summarize due diligence findings for internal stakeholders.
• Assist Legal and Finance teams with deal diligence, including evaluating contracting parties, client rights ownership, client history, account information, and other pertinent data.
• Aid legal and operational initiatives, including research, internal documentation, and compliance projects.
• Ensure consistency in legal terminology and formatting across all documents.
• Maintain organized and up-to-date records of contract templates, revisions, and executed documents.
• Research and assess trends and emerging laws and industry practices related to operations, contracting, copyright, improper activities, and other legal issues.
• Communicate with internal stakeholders regarding legal policies, processes, and procedures.
• Provide assistance on escalated legal matters.
• Regularly update the Director on the status of contracting activities.
• Complete additional projects as identified by the Business and Legal Affairs Team.
• Manage initial contract reviews, redlining, intake, and diligence, progressing towards more independent drafting and negotiation.
• A Bachelor’s degree in a relevant field.
• Three years of post-graduate experience in business and legal affairs, contracts, or a transactional setting.
• Proficiency in contract, project, and business management platforms such as Monday.com, Dropbox, Google Workspace, and HubSpot.
• Excellent written and verbal communication abilities.
• Exceptional organizational skills paired with keen attention to detail.
• Strong time management capabilities, able to juggle multiple priorities and meet tight deadlines in a high-volume environment.
• Self-motivated and proactive, demonstrating a strong sense of ownership and initiative.
• Comfortable receiving feedback, adapting swiftly, and taking on increasing responsibility for projects.
• Willingness to learn, develop subject-matter expertise, and become a dependable resource for the team.
• Ability to work collaboratively and remain fully engaged with a distributed team in a remote work setting.
• High ethical standards and sound judgment when handling confidential or sensitive information.
• Candidates must be current residents of Nashville, Tennessee.
• A J.D. or Paralegal Certificate with relevant internship/training or work experience in business and legal affairs, contracts, or transactional matters.
• Five years of post-graduate experience in business and legal affairs, contracts, or a transactional environment.
• Experience in the music, entertainment, or technology sectors.
• Familiarity with music licensing, intellectual property, copyright, and digital distribution.
• Interest in contracting, intellectual property rights, licensing, copyright law, and emerging legal topics such as artificial intelligence and related regulations.
• Strong interest in the legal and business aspects of independent music distribution.
• One or more years of experience drafting distribution agreements, music licensing agreements, or similar commercial contracts.
• Experience collaborating cross-functionally with teams such as Deals, Sales, and Finance.
• Proficiency in Spanish and/or Portuguese is an advantage.
• Remote work arrangement.
• Minimal travel may be required.
