This is a fully remote position, open to applicants in Pennsylvania.
• Prepare and revise contract frameworks and templates for digital distribution agreements, licensing deals, and customized client and partner contracts.
• Review, edit, and assist in the negotiation of agreements, addenda, and tailored contracts, elevating unique or high-risk issues to the Director.
• Work collaboratively with internal stakeholders to integrate business requirements into contractual provisions.
• Oversee legal workflows and updates to the contract lifecycle utilizing project management tools.
• Monitor contract project progress and deliver timely updates to the Director and relevant teams.
• Perform entity verification, conduct KYC/KYB diligence, execute sanctions/PEP screenings, and verify identities across U.S. and international registries.
• Assist the Legal and Finance teams with deal diligence, which includes reviewing contracting parties, rights ownership, client history, and account information.
• Contribute to legal and operational initiatives, research, documentation, and compliance projects.
• Ensure consistency in legal language and formatting throughout documents.
• Keep organized records of templates, revisions, and executed documents.
• Investigate and analyze emerging laws and industry practices pertaining to operations, contracting, copyright, improper activities, and other legal issues.
• Communicate with internal stakeholders about legal policies, processes, and procedures.
• Provide assistance on escalated legal issues.
• Regularly update the Director on contracting activities.
• Undertake additional projects as designated by the Business and Legal Affairs Team.
• A Bachelor’s degree is required.
• A J.D., paralegal certificate, or equivalent legal training is strongly preferred.
• A J.D. with significant business and legal affairs internship or work experience, OR three to five years of post-graduate experience in a B&LA, contracts, or transactional setting.
• Proficiency in contract/project management platforms, including Monday.com, Dropbox, Google Workspace, and HubSpot.
• Excellent written and verbal communication skills.
• Highly organized with outstanding attention to detail.
• Strong time management abilities and the capacity to manage multiple tasks while meeting tight deadlines.
• Ability to fully engage and integrate with the team while working remotely.
• High ethical standards and the capability to maintain confidentiality.
• Familiarity with music licensing, intellectual property, and digital distribution is preferred.
• At least one year of experience drafting distribution agreements and other music licensing contracts.
• Candidates must be current residents of Philadelphia, PA.
• Flexible remote work arrangement.
