This is a fully remote position, open to applicants in Florida.
• Create and revise contract frameworks and templates for digital distribution agreements, licensing contracts, and tailored client and partner arrangements.
• Examine, redline, and assist in the negotiation of digital distribution agreements, addenda, and customized deals, escalating novel or high-risk matters to the Director.
• Work alongside internal stakeholders to comprehend business requirements and integrate them into contractual terms.
• Manage legal workflows and contract lifecycle updates through Monday.com or alternative project management tools.
• Monitor contract project progress and deliver timely updates to the Director and pertinent teams.
• Perform entity verification, KYC/KYB due diligence, sanctions/PEP screening, and identity verification across U.S. and international registries.
• Summarize due diligence findings for internal stakeholders.
• Assist the Legal and Finance teams with deal due diligence, including vetting contracting parties, understanding client rights ownership, client history, account details, and related information.
• Support legal and operational initiatives, conduct research, maintain internal documentation, and engage in compliance projects.
• Ensure consistency in legal terminology and document formatting.
• Keep organized records of contract templates, revisions, and completed documents.
• Research and analyze emerging laws and industry practices related to operations, contracting, copyright, improper activities, and other legal issues.
• Communicate with internal stakeholders about legal policies, processes, and procedures.
• Provide assistance on escalated legal issues.
• Regularly update the Director on the status of contracting activities.
• Complete additional projects as assigned by the Business and Legal Affairs Team.
• Bachelor’s degree in a relevant discipline.
• Three years of post-graduate experience in business and legal affairs, contracts, or a transactional setting.
• Proficient in contract, project, and business management platforms such as Monday.com, Dropbox, Google Workspace, and HubSpot.
• Excellent written and verbal communication abilities.
• Outstanding organizational skills and meticulous attention to detail.
• Strong time management capabilities and the ability to juggle multiple priorities while meeting tight deadlines in a high-volume environment.
• Self-driven and proactive, demonstrating a strong sense of ownership and initiative.
• Comfortable with receiving feedback, adapting swiftly, and assuming greater ownership of projects.
• Eagerness to learn and build subject-matter expertise.
• Ability to collaborate effectively and remain fully engaged with a distributed team in a remote work setting.
• High ethical standards and sound judgment when dealing with confidential or sensitive information.
• Proficiency in Spanish and/or Portuguese is a plus, though not required.
• Must be a current resident of Miami, FL.
• A J.D. or Paralegal Certificate with relevant internship/training or work experience is preferred.
• Five years of post-graduate experience is preferred.
• Experience in the music, entertainment, or technology industries is preferred.
• Familiarity with music licensing, intellectual property, copyright, and digital distribution is preferred.
• At least one year of experience drafting distribution agreements, music licensing agreements, or similar commercial contracts is preferred.

• Potential for increased independent drafting and negotiation responsibilities as the Legal function expands.
