This is a fully remote position, open to applicants in North Carolina.
• Lead and oversee the Global Capital Formation legal function that supports the formation of private funds across various sectors including private equity, private credit, infrastructure, real estate, timberland, and agriculture.
• Supervise the structuring, launch, and management of global funds, co-investment vehicles, parallel structures, feeder vehicles, funds of one, and separately managed accounts.
• Draft, negotiate, and oversee the preparation of limited partnership agreements, private placement memoranda, subscription agreements, investment management agreements, and side letters.
• Provide counsel to senior leadership and investment teams on intricate structuring, operational, and investor-related issues.
• Offer strategic legal insight on new global private market products and tailored investor solutions.
• Collaborate with investor relations and distribution teams in fundraising efforts.
• Advise on matters related to the Investment Advisers Act, Securities Act, and Investment Company Act.
• Develop and uphold fund-related policies and procedures.
• Review and approve investor communications and marketing materials.
• Supervise the preparation and updating of Form ADV and other regulatory submissions.
• Work alongside investment, finance, compliance, tax, operations, and investor relations teams on capital formation, product development, fund closings, and governance.
• Manage relationships with external legal counsel.
• Act as the primary legal advisor to Global Capital Formation and a strategic partner to business leadership.
• Build, develop, and lead a high-performing team focused on global private fund formation.
• Drive ongoing improvement in legal processes, documentation standards, and fundraising workflows.
• Contribute to the strategic planning for the sustained growth of the Private Markets platform.
• Juris Doctor from an accredited law school with a strong academic background.
• 10+ years of experience specializing in private fund formation at an asset manager or a prominent law firm.
• In-depth technical expertise in U.S. securities laws.
• Extensive experience in negotiations with institutional investors.
• Demonstrated leadership capabilities within a global asset management setting.
• Competence in leading teams and cross-functional initiatives.
• Proficient communication skills with senior stakeholders.
• Strong business acumen and strategic thinking abilities.
